AMENDMENT NO. 1
to
CONSTRUCTION ENGINEERING SERVICES AGREEMENT
This Amendment is made and entered by and between Willett, Hofmann & Associates, Inc., 625 32nd
Avenue SW, Cedar Rapids, Iowa, hereinafter referred to as "WHA" or "CONSULTANT" and City of
Waterloo, Iowa, hereinafter referred to as "CLIENT" or "OWNER". The effective date of this Agreement
shall be the date on which it is signed by the Mayor of the City of Waterloo.
IN CONSIDERATION of the covenants hereinafter set forth, the parties hereto mutually agree as
follows:
I. SCOPE OF SERVICES
To complete Iowa DOT required paperwork and pre -audit requirement, this Amended Agreement
Number 1 amends the following parts of the original Agreement approved June 21, 2021.
The original agreement had a construction completion date of July 1, 2022. The actual construction
complete date was January 6, 2023. This amendment acknowledges that while construction is
complete, the Project is still in the Iowa Department of Transportation's (IDOT) Post -Construction
Audit phase.
WHA will complete the IDOT's Post -Construction Audit and provide record drawing(s), prepared by
Contractor, signed and sealed by a licensed professional engineer, and delivered as an electronic
file in AutoCAD format to the CLIENT. Other provisions of the original Agreement will remain intact
and active.
II. PROJECT SCHEDULE
The new project end timeline is now December 31, 2023.
III. COMPENSATION AND TERMS OF PAYMENT
Compensation for the amended services shall be on an hourly basis in accordance with the hourly
rates and other direct expenses in effect at the time the services are performed. Total
compensation associated with this amendment is a not -to -exceed fee of Five Thousand Nine
Hundred Dollars and Zero Cents ($5,900.00). The total compensation for the Construction Phase
services, including the original agreement is Forty -One Thousand Three Hundred Forty Dollars and
Zero Cents ($41,340.00).
