Re: Extension of Letter of Intent — Renewable Natural Gas Projects ("Extension")
Greetings:
Your company ("Proposer") was preliminarily selected by the City of Waterloo ("City") for award
of contracts pursuant to the Request for Qualifications/Proposals for the Development of Renewable
Natural Gas Projects ("RFQ/RFP"), issued on or about February 7, 2023. A letter of intent ("LOI") was
executed with the City effective August 21, 2023 based on the proposal and documents relating thereto
that you submitted to City on or about April 21, 2023 (the "Submittal") for design, construction, and
operation of renewable natural gas projects at the City's wastewater treatment plant and anaerobic lagoon
(collectively, the "RNG Projects"). Pursuant to the terms of the LOI, on December 18, 2023, Proposer
submitted notice of its intent to extend the LOI for an additional sixty (60) days ("Extension Period") and
made the required payment of $5,000 to the City for such extension on or around January 8, 2024.
With the foregoing in mind, it is proposed that:
1. An additional period of Ninety (90) days will be added to the term of the
Extension Period ("Additional Extension Period") with no additional extension fee.
2. All other terms and conditions of the LOI shall remain in effect during the
Additional Extension Period, including but not limited to provisions regarding insurance,
indemnification, confidentiality, governing law and counterparts.
This Extension shall be binding upon and inure to the benefit of the parties, and it shall become
effective upon the date of execution and delivery by both parties. Each party represents that the person
signing this Extension on its behalf has been duly authorized to do so.
