RESOLUTION APPROVING THE SALE AND CONVEYANCE
OF CITY-OWNED PROPERTY, LOCATED AT 2775
CROSSROADS BOULEVARD TO GRANT PARK, LLC, IN
THE AMOUNT OF $1.00, AND AUTHORIZING THE MAYOR
AND CITY CLERK TO EXECUTE SAID DOCUMENTS, AND
RESCINDING RESOLUTION NO. 2023-514.
WHEREAS, the City of Waterloo, Iowa is the owner of property located north of 2775
Crossroads Boulevard, in the City of Waterloo, Iowa, and legally described as follows:
LOT 4 IN CROSSROADS PLAT NO. 2, WATERLOO, BLACK HAWK
COUNTY, IOWA; AND LOT A-3 IN CROSSROADS PLAT NO. 4, A REPLAT
OF TRACT A IN CROSSROADS PLAT NO. 2, WATERLOO, BLACK HAWK
COUNTY,IOWA.
LEGAL DESCRIPTION OF PROPERTY TO BE CONVEYED TO GRANT
PARK, LLC:
A SURVEY OF PARCEL "F" OF THE SOUTHEAST QUARTER (SE 1/4),
SECTION 02, TOWNSHIP 88 NORTH (T88N), RANGE 13 WEST (R13W) OF
THE 5TH PRINCIPAL MERIDIAN (5TH PM), CITY OF WATERLOO,
BLACK HAWK COUNTY, STATE OF IOWA, AND BEING MORE
PARTICULARLY DESCRIBED AS FOLLOWS:
BEGINNING AT THE NORTHEASTERLY CORNER OF LOT 4,
CROSSROADS PLAT NO. 2, BEING A FOUND 1/2" REBAR WITH YELLOW
PLASTIC CAP AND LICENSE NUMBER 8033; THENCE SOUTH 48°00'16"

RETENTION OF A PUBLIC UTILITY EASEMENT OVER THE

WHEREAS, an offer to purchase said city-owned property, in the amount of$1.00, has
been made by Grant Park, LLC, and
WHEREAS, a public hearing was held on October 16, 2023, at 5:30 p.m. in the Harold E.
Getty Council Chambers, City Hall, Waterloo, Iowa, as provided by law, by the Council of the
City of Waterloo, Iowa, on the proposal to sell and convey premises owned by the City of
Waterloo, Iowa, to Grant Park, LLC, for the construction of a 10,000 square foot commercial
building for retail tenants, and
WHEREAS, it is the opinion of this Council that the sale and conveyance should be made
as proposed.

NOW, THEREFORE, IT IS HEREBY RESOLVED BY THE COUNCIL OF THE CITY
OF WATERLOO, IOWA, AS FOLLOWS:
1. The city-owned property located north of 2775 Crossroads Boulevard, in the City of
Waterloo, Iowa, as fully described in the published notice in the Waterloo Courier on October 5,
2023, is not presently needed, and will not be needed in the foreseeable future for municipal
purposes, and its ownership is serving no municipal purpose.
2. That the offer of Grant Park, LLC, to purchase the city-owned property, located north
of 2775 Crossroads Boulevard, in the City of Waterloo, Iowa, in the amount of$1.00, is hereby
accepted for said property.
3. That the City of Waterloo, Iowa conveys said parcel of real property to Grant Park,
LLC, by quit claim deed.
4. That the Mayor and City Clerk are authorized and directed to execute said deed.
5. That the original of said quit claim deed, fully executed and acknowledged, is hereby
approved and confirmed by this Council.
6. That the Community Planning and Development Director is authorized and directed to
deliver said deed of conveyance to Grant Park, LLC, upon execution of said document and
receipt of payment of$1.00.
7. That Resolution No. 2023-514 is hereby rescinded in its entirety.

hereby quit claim to Grant Park, L.L.C., all of its right, title, interest, estate, claim, and demand in the following

Parcel "F"according to Plat of Survey recorded July 24, 2023 as Doc. No. 2024-1045, being a part of the
Southeast Quarter(SE 1/4), Section 2, Township 88 North (T88N), Range 13 West(R13W)of the 5th
