PERMANENT EASEMENT AGREEMENT
This Permanent Easement Agreement (the "Agreement") is entered into by and between
the City of Waterloo, Iowa (the "City") and the Waterloo Community School District, an Iowa
school corporation(the"District") this la day of May, 2008.
RECITALS:
A. Real estate in Waterloo, Iowa, which includes the real estate legally described on
attached Exhibit A, which by this reference is made a part hereof, is owned in fee simple by the
City(the"City Property").
B. Real estate in Waterloo, Iowa, which includes the real estate legally described on
attached Exhibit B, which by this reference is made a part hereof, which contains and is
commonly known as Kittrell School, is owned in fee simple by the District (the "District
Property"), which lies immediately to the north and adjacent to the City Property.
C. The District desires to construct and maintain on the City Property a public
sidewalk for purposes of access to and from Kittrell School and a retention basin with reinjection
well and wellhead, all as described and located on attached Exhibit C.
D. The City is willing to grant the District a permanent easement for the
construction, maintenance and enjoyment of such sidewalk, retention basin, reinjection well and
wellhead according to the terms and conditions described below.
NOW, THEREFORE, the parties agree as follows:
1. The Easement. The City hereby grants to the District a permanent easement over
and across the City Property (the "Easement Area") as described on attached Exhibit C, for the
purpose of constructing and maintaining a public sidewalk, a retention basin, a reinjection well,
and wellhead thereon.
2. Sidewalk Specifications. In the exercise of this Easement, the District agrees to
construct a sidewalk with a surface width of eight feet, being four feet on either side of the
centerline described on attached Exhibit C, which by this reference is made a part hereof. The
sidewalk shall be constructed according to the ordinances and regulations of the City of Waterloo
for public sidewalks.
3. Retention Basin, Reinjection Well, and Wellhead Specifications. In the exercise
of this Easement, the District agrees to construct the retention basin, reinjection well, and
wellhead according to the ordinances and regulations of the City of Waterloo for such items, as
located on attached Exhibit C, according to the specifications separately existing and agreed to
by the parties hereto.
4. Temporary Construction Easement. The City grants to the District a temporary
construction easement over any portion of the City Property adjoining the Easement Area
reasonably necessary for the construction of said sidewalk, retention basin, reinjection well, and
wellhead. The construction shall be completed on or before , 2009, at
which time the temporary construction easement will terminate. The District shall return any

portion of the City Property which was a part of the temporary construction easement to the same
condition as existed prior to the commencement of construction, all at the District's expense.
5. City's Use of Easement Premises. The City specifically reserves the right to use
the Easement Area for any use which does not unreasonably interfere with the District's use of
the Easement Area.
6. Maintenance. The District shall maintain and be responsible for the cost of
maintaining the Easement Area, including the sidewalk, retention basin, reinjection well, and
wellhead. The Easement Area shall not be allowed to fall into a state of disrepair or otherwise
detract from the character or general standard of maintenance of the surrounding neighborhood
taken as a whole. Notwithstanding the above provisions, either party causing damage to the
Easement Area through negligence on the part of that party themselves or others for them or on
their behalf shall be wholly responsible for any such damage resulting from any such negligence.
7. Indemnification. The District, and its successors and assigns, shall protect,
defend, indemnify and hold harmless the City and its successors and assigns, and its elected
officials, employees, and agents from any and all claims, damages, liabilities and expenses
(including, but not limited to, reasonable attorney's fees and costs of litigation) arising out of the
use or maintenance of the Easement Area except for such claims, damages, liabilities and
expenses arising solely from the negligence of the City, its employees and agents. This covenant
shall survive any termination of this Easement. The District shall obtain and maintain such
general liability insurance protecting both the District and the City and the indemnification and
hold harmless promises of the District as set forth above, at such coverage levels and upon such
terms as shall be reasonably required by the City. Initially, the City's requirements shall consist
of the following:

a. City named as additional insured on the District's general liability,
excess, and automobile policies.
b. Minimum liability limits of$2,000,000.
c. No less than 30-days' notice to City of cancellation.
The City's requirements may be changed from time to time upon reasonable notice to the
District. The District shall obtain and provide to the City certificates of insurance as proof of
said insurance coverage.
8. Running of Benefit and Burdens. All of the provisions of this Agreement,
including the benefits and burdens, run with the land and are binding on and inure to the benefit
of the successors and assigns of the parties.
9. Term of Easement. The term of this Easement shall be perpetual, except that
should the District cease to operate Kittrell School at its present location, the Easement shall
terminate at the time that such school operation is terminated. Upon such termination, the
Easement Area shall belong only to the City free and clear of any rights of the District therein.
Also upon termination, the District shall, if so directed by the City within thirty (30) days after
said termination, remove all improvements from the Easement Area and restore it generally to
the condition existing prior to the creation of this Agreement.
10. Release of Easement. The parties may also terminate this Easement by mutual
agreement by recording a release in recordable form, whereupon all rights, duties, and liabilities
hereby created shall terminate except for the indemnification in paragraph 7.
11. Applicable Law. This Agreement shall be interpreted and may be enforced
according to the laws of the State of Iowa.
