EQUIPMENT CREDIT AGREEMENT
This Equipment Credit Agreement (the "Agreement") is entered into as of
4pCi I 7 , 2008, by and between the City of Waterloo, Iowa(hereinafter"City") and
RCSystems, Inc. (hereinafter"Vendor").
RECITALS
A. In approximately November 2006, Vendor installed certain electronic equipment
on behalf of the City on a building located at 2127 E. Fourth Street, Waterloo,
Iowa (the "Queen of Peace School")
B. The Queen of Peace School was subsequently purchased by a third party who
has refused to return the equipment to the City.
C. Vendor desires to give the City a credit for the value of the equipment lost
to enable the City to purchase additional equipment.
AGREEMENT
NOW, THEREFORE, in consideration of the promises exchanged herein and for other
consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as
follows:
1. Equipment Credit. Vendor agrees to provide the City with a $5,800 credit which
the City can use to purchase electronic relay and/or surveillance equipment from Vendor.
2. Entire Agreement; General. This Agreement represents the entire agreement
between the parties, superseding all prior or contemporaneous negotiations, discussions,
understandings, or agreements pertaining to the subject matter hereof This Agreement may not
be modified except in a writing signed by both parties. This Agreement is binding on the parties
and their respective successors and assigns. The parties agree that this Agreement may be signed
in one or more counterparts, each of which shall be deemed an original and all of which, taken
together, shall constitute one and the same instrument.
IN WITNESS WHEREOF, the parties have executed this Equipment Credit Agreement
by their duly authorized representatives as of the date set forth above.
