This Release of Personal Guaranties is made as of 111'lay /9 , 2008, by the City of
Waterloo, Iowa ("City") in respect of certain obligations owed to City by Waterloo Tent& Tarp
Company, Inc. (the "Company").
WHEREAS, City and Company entered into a certain Loan Agreement dated October 1,
1997 (the "Loan Agreement") and a certain Promissory Note of the same date (the "Note"); and
WHEREAS, Company has requested that City release certain persons from personal
guaranties (each a"Guaranty")that may have been given in connection with the Loan Agreement
and/or Note, and City desires to give such release.
NOW, THEREFORE, City does hereby release each of the persons named below from
any and all personal liability in connection with the Loan Agreement and/or the Note. Further,
City does hereby cancel the Guaranty instruments, if any, executed by the following persons:
Robert Dieter
Robert J. Dieter Retirement Trust
Mark Fransdal
Thomas Porth
Jerry D. Smart
IN WITNESS WHEREOF, the City of Waterloo, Iowa, has executed this Release of
Personal Guaranties by its duly authorized representatives as of the date set forth above.
