COOPERATIVE AGREEMENT

This Agreement, is entered into by and between the Iowa Department of Transportation,
hereinafter designated the "DOT", and the Iowa Northland Regional Council of Governments,
hereafter designated the "INRCOG", and the Cities of Cedar Falls and Waterloo, hereafter
designated the "CITIES", in accordance with Iowa Code sections 28E.12 and 306A;
WITNESSETH; that
WHEREAS, INRCOG and the CITIES, in joint cooperation with the DOT, propose to
develop a Corridor Planning Study(hereafter"Study") for a portion of University Avenue
(IA 934) within the City of Cedar Falls and the City of Waterloo, Iowa; and
WHEREAS, INRCOG, the CITIES, and the DOT are willing to jointly participate in said
project, in the manner hereinafter provided; and
WHEREAS,INRCOG shall be the lead agency for carrying out the terms of this agreement;
NOW, THEREFORE, IT IS AGREED as follows:
1. The parties to this agreement propose to develop a corridor plan for University Avenue from
IA 58 in Cedar Falls to U.S.63 in Waterloo. The proposed Study area is shown on Exhibit A
attached.
Special Provisions
2. Total cost of the proposed Study has been estimated at approximately $200,000. The
following funding sources have been identified for development of the Study as described:
• FFY 2008 Federal STP Funds 80% up to a maximum of $160,000
• SFY 2008 City of Cedar Falls 3.5% up to a maximum of $7,000
• SFY 2008 City of Waterloo 3.5% up to a maximum of $7,000
• SFY 2008 Iowa DOT 13% up to a maximum of $26,000

3. The proposed Study will be developed and conducted in accordance with the following terms
and conditions:
A. INRCOG shall be responsible for administration of the Study at no cost to the DOT
and CITIES.
B. INRCOG will initially pay for the study costs as required by the Federal Surface
Transportation Program Funding.
C. INRCOG will bill the CITIES and DOT monthly for their respective funding share of
the costs as per Section 2 herein.
General Provisions
4. A Project Advisory Committee (PAC) will be established for this study and shall include
representatives from the CITIES, the DOT, and INRCOG. INRCOG will administer the
functions of the PAC. It shall be the responsibility of local PAC members to assist the study
by providing local land use, zoning, traffic signal, and other information for their
jurisdictions.
5. INRCOG and the CITIES shall comply with all provisions of the equal employment
opportunity requirements prohibiting discrimination and requiring affirmative action to
assure equal employment opportunity as required by the Iowa Code Chapter 216(1999). No
person shall, on the grounds of age, race, creed, sex, color, national origin, religion, or
disability, be excluded from participation in, be denied the benefits of, or be otherwise
subjected to discrimination under any program or activity for which INRCOG and the
CITIES receive state assistance through the DOT.
6. This agreement is not assignable without the prior written consent of the DOT.
Miscellaneous Provisions
7. It is the intent of all parties that no third party beneficiaries be created by this Agreement.

8. If any section, provision, or part of this Agreement shall be found to be invalid or
unconstitutional,such judgment shall not affect the validity of the Agreement as a whole or
any section,provision, or part thereof not found to be invalid or unconstitutional,except to
the extent that the original intent of the Agreement cannot be fulfilled.
9. This Agreement may be executed in four counterparts, each of which so executed will be
deemed to be an original.
10. This document represents the entire Agreement between INRCOG,the CITIES,and the DOT
regarding the Study. Any subsequent change or modification to the terms of this Agreement
will be in the form of a duly executed amendment to this document.

IN WITNESS WHEREOF, the parties hereto have caused Agreement 2-08-STPU-025 to be
signed and sealed by their duly authorized representative.
