Frank, Inc.), (hereinafter "ServiceMaster"), 3201 Market Street, Green Bay, WI, 54304 and ak-fie (hereinafter "Customer"), 715 Mu14 rnt S f- (LIG.. /do (Address) and (3 g ) 29/•-V3/9 (Telephone Number), hereby enter into the Restoration Services Contract("Agreement") on this f$0 day of J i , 2000 It is agreed by and between the parties as follows: 1. ServiceMaster is authorized to provide and perform for the Customer, the specific services, described in this Scqpe of Work, which is attached hereto as Exhibit A, set at the following location at A liplt f . its* - i h 71 ci 4-yo f . Such work shall commence on orQ /B kidkr/40 2. Customer hereby agrees to pay ServiceMaster any and all amounts invoiced for the services and/or materials provided based upon the estimated price and agreed upon labor rates, attached hereto as Exhibit B. Itemized invoices setting forth in detail the charges incurred shall be submitted to the Customer for payment upon completion of services or every two (2) weeks, whichever time period is shorter. Customer hereby authorizes Customer's insurance company to pay ServiceMaster directly upon the submission of each itemized invoice. The terms of payment shall be net thirty (30) days from the date listed on the invoice, and any balances outstanding more than thirty (30) days from the date listed on the invoice shall be subject to a finance charge of one and one-half percent (1-1/2%) per month, or eighteen percent (18%) per annum. If Customer's account is referred to any agency or attorney for collection, attorneys, fees and costs of collection shall be recoverable by the prevailing party. The obligation for such payments shall survive the termination of this Agreement. 3. The Customer shall pay and reimburse ServiceMaster for any additional Insurance, applicable fees, any and all federal, state and municipal excise and sales taxes and any and all other levies or taxes imposed on or in respect of any of the materials, services or work covered by this Contract. ServiceMaster shall comply with all government laws, ordinances and regulations relating to work to be performed under this Contract. 4. ServiceMaster shall obtain, at its own expense, and maintain in full force and effect during the term of this Contract,the following minimum insurance requirements: (a) Comprehensive General Liability Insurance including, but not limited to, Products, Completed Operations, and Contractual Liability, with limits of at least $1,000,000 (b) Auto Iasi ity insurance wit imits o at least ',1,000,000 per accident bodily injury and property damage; (c) Appropriate Worker's Conipens iv11 InsUIancc as required by the�tatc i.i which the Contract will be performed. 5. If the work in this Agreement cannot be performed in a timely manner because of local building codes, zoning ordinances, the presence of asbestos or hazardous materials or products which are unavailable, then cost incurred in overcoming these conditions will be paid by Customer. ServiceMaster shall have the right to discontinue the work and remove its workers from the project until no such products or materials unavailability, or any hazard exists, as the case may require, and ServiceMaster shall receive an extension of time to complete it work hereunder and compensation for delays that are a result of such hazardous products or materials being encountered or removed. ServiceMaster shall not be required to remove such hazardous products or materials from the job site. It shall be the affirmative duty of Customer to disclose to ServiceMaster all known and potential hazards, including but not limited to asbestos or similar hazardous products or material, which exist at the time of the signing of this Contract or have existed within the preceding twelve (12)months of the signing of this Contract upon or in connection with the work site where services are to be performed by ServiceMaster. 6. ServiceMaster will perform all services required, except when prevented by strike, lockout, earthquake, act of God, accident or other circumstances beyond its control, which acts would prevent ServiceMaster from completing the job within the estimated time. ServiceMaster will not be responsible for pre-existing conditions unknown or not brought to its attention that may affect the quality, work production,or aesthetic value of work performed. 7. Customer agrees to and is responsible for notifying ServiceMaster in writing of any modifications or changes within the Scope of Work, attached as Exhibit A. 8. Either party may terminate this Agreement at any time if the premises are destroyed or upon thirty (30) days written notice with or without cause. Upon such termination, Customer shall be responsible for any and all costs and expenses, including labor and profit margin that ServiceMaster incurred up to and including the date of termination. This Agreement shall benefit and bind successors, assign, agents and representatives of the parties. 9. Customer agrees to and shall indemnify, protect, defend and hold harmless ServiceMaster for, from and against all liability or claimed liability for injuries, including death, to any and all persons whomsoever and for any and all property damage arising out of or resulting from or in any way connected with customer's negligence. Customer also shall fully protect, indemnify, defend and hold harmless ServiceMaster for, from and against any and all liens or claims of Customer's laborers,mechanics,materials, and subcontractors. 10.Notices, requests, demands and other communications by and between the parties hereunder shall be in writing and delivered or mailed with postage paid to the addresses set forth above. 11. This Agreement is to be governed by and construed in accordance with the laws of . Each of the parties submits to the jurisdiction of the courts of the State of in connection with any dispute relating to this agreement.
