HomeMy WebLinkAboutDevelopment Solutions, Inc.-Contract Services Agreement-09.22.2008 CONTRACT SERVICES AGREEMENT This agreement is by and between Development Solutions, Inc., incorporated in the State of Maryland, located at 1713 South Harbor Lane in Annapolis, MD and herein referred to as "DSI"; and the City of Waterloo, Iowa, herein referred to as "the City". Whereas, • The City has an interest in disbursing its $8.22 million Section 108 loan, which HUD has approved. • The City wishes to disburse its BEDI grant, which is contingent upon the proportionate expenditure of Section 108 funds. • DSI has extensive experience with the Section 108 and BEDI programs. Now therefore, the parties agree to the following: DSI will complete the following tasks: • Assist the City in closing and disbursing individual Section 108 loans which are a part of the multiple-project application that HUD has approved. • Document the eligible activity, national objective and if applicable, the appropriateness criteria for each loan request. • Work with the HUD Offices to ensure a timely flow of funds. The cost of providing the technical services is $168/hour, inclusive of all costs except travel and extraordinary expenses. DSI will not incur travel or extraordinary expenses without prior approval. The maximum contract amount is $10,000, which will determine the number of transactions in which DSI can assist. DSI agrees that it renders all services as an independent contractor and not as an employee of the City of Waterloo. The contract shall begin on August 1, 2008 and expire on July 31, 2009 unless both parties agree on an extension. DSI will submit invoices for technical services it provides. The City of Waterloo agrees to remit payment within 60 days of the date of the invoice. Parties executing this agreement certify that they have the authority to obligate their respective organizations. Development Solutions,Inc.
