With respect to the above tasks you or your designated agent will collaborate
with the following entities in developing the plan and job description:

• Waterloo Development Corporation (WDC)
• Ramada Inn/FSBCC
• Vandewalle &Associates (resource only)
• Farmers market expertise

It is my intention and hope that each of these organizations will be represented
"at the table" in any umbrella organization set up to manage the entities.As
background, it is important to keep the following vision statements in mind as
the business plan is developed:
• EXPO is a gathering space, not simply a community plaza
■ It is a new and vibrant frontage to downtown
■ It is intended to promote enhanced programming for FSBCC
■ It brings in new"outside" events and new dollars
■ It is an economic enhancement venue for the city
■ It should not compete with private business events if avoidable
■ Scheduling will recognize as much as possible long-standing existing
events
■ The City may reserve the grounds at no charge for certain events
The City will pay you $5,000 in compensation for your services, half payable upon
presentation of a final business plan and half payable in February 2009. We
expect that your services will be completed no later than February 28, 2009. The
City will also remain open to developing a further working relationship with you
or someone you suggest that would be more permanent in nature and would
relate specifically to handling the EXPO/public market management functions.
Those terms would be developed at a later time.
If you are in agreement with the above terms, please countersign a copy of this
letter where indicated below and return to my office. I look forward to partnering
with the GCVA once again in the revitalization of downtown Waterloo.

RIVERLOOP EXPO ECONOMIC VISION STATEMENT
June 10, 2008
The RiverLoop Expo is an economic catalyst for Downtown Waterloo, attracting visitors to
Downtown dining, shopping,attractions,and lodging. To maximize spending from outside
the local economy,programming of the Expo space is prioritized for large-scale events that
attract visitors from outside of the region. These events include 5 Sullivan Brothers
Convention Center events in need of outdoor space as well as events independent of the
Convention Center.Second priority events are those that primarily attract people from
within the region, encouraging greater use of Downtown by local and regional residents.
WATERLOO PUBLIC MARKET MISSION AND GOALS
June 10, 2008
The primary mission of the Waterloo Public Market is to strengthen the regional foods
movement through expanded opportunities for producers and consumers. Once established,
the Public Market will:
1. Grow the use of the existing Farmer's Market by providing more visible space
with greatly expanded hours,improving the year-round accessibility of local food
products;
2. Expand economic opportunities for local producers and vendors not only
through the new retail venue, but also through Public Market staff assistance with
product branding to help vendors expand distribution of products to larger Midwest
markets. This,in turn,will expand job opportunities in small-scale food processing in
the Cedar Valley region;
3. Expand the availability of and interest in local foods by area residents,
improving upon the existing Farmer's Market by:
• expanding the days and hours of operations,
• increasing the number and diversity of vendors to appeal to customers from a
wide range of ethnic backgrounds and incomes,
• offering a community space for residents to gather to enjoy downtown life and
regional products,
• becoming a cornerstone of retail food purchases by Downtown residents and
employees;
4. Become a key Downtown destination, offering a unique atmosphere for residents
and visitors to get a "taste of the region," catalyzing reinvestment in the surrounding
area; and
5. Expand the use of local foods by area restaurants and institutions due to the
greatly improved daily availability of products.
