(ATS) 501 Sycamore Street, Suite 222 P.O. Box 1497 Waterloo, Iowa 50704-1497 Who agree as follows: Client hereby engages ATS to perform the services described in Part I("Services")and ATS agrees to perform the Services for the compensation set forth in Part III. ATS shall be authorized to commence the Services upon execution of this Agreement. Client and ATS agree that this signature page, together with Parts I-IV and attachments referred to therein, constitute the entire Agreement between them relating to the Project ("Agreement"). PROJECT DESCRIPTION The project consists of developing a pedestrian access route in conformance with the American Disabilities Act from northwest quadrant of the Greenhill Road and University Avenue interchange to the Exceptional Persons, Inc., facility. The pedestrian access is anticipated to follow a general alignment outside of the northwest interchange loop adjacent to the YMCA property westward along the University Avenue north frontage road. At that point, the pedestrian access will cross University Avenue and then extend back to the east,adjacent to south University Avenue frontage road and finally terminate near the Exceptional Persons, Inc., property. The project will also include upgrading the University Avenue Connection to the Greenhill Road pedestrian access on the interior of the northwest loop of the interchange into an ADA-conforming pedestrian trail. Pedestrian signal heads will be added to the existing signalized intersection at University Avenue near the Exceptional Persons facility. Access to existing bus stop locations on both sides of University Avenue will be reviewed. In addition to the items noted above, the project will include possible right-of-way acquisition for the sidewalk, fencing modifications, pavement markings, possible light pole and sign relocations and earthwork required for the grade revisions. Services to be provided under this Agreement will be divided into two phases. The first phase will include the required design services, including the preparation of plans and specifications for a City of Waterloo letting. The second phase will include construction-related services,which will be determined at the time the services are needed. B. SCOPE OF SERVICES The Scope of Services for Phase I Design Services will encompass and include all detailed work, services, materials, equipment, personnel and supplies necessary to provide design survey, concept alignment development, right-of-way plats, preparation of final construction plans and specifications, construction cost estimates, and project administration. It is anticipated this project would be let as one construction contract that would include grading, paving and utility relocation work. The Scope of Services for Phase I Design Services is further defined as follows: Phase I-Design Services Survey and Base Mapping Tasks 1-3. These tasks include field surveys which will be completed and used as the basis for the design. In addition to the design survey, these tasks include field surveys to locate property corners and utility surveys. These tasks also include developing right-of-way plats required for the project. A total of two plats are anticipated for right-of-way on the project. The following identifies tasks leading to the completion of the design surveys required for the project: AECOM Page 3 Task 1 - Design Survey Task 2 - Property Corner Survey Task 3— Right-of-Way Plats (Assume Two Plats for Project) Conceptual Alignment Development Tasks 4-5. These tasks include the conceptual alignment development for the pedestrian access to Exceptional Persons, Inc. Upon completion of the conceptual alignments, it is anticipated a review meeting will be completed with the ADA Compliance Commission prior to proceeding with the final construction drawings. The following identifies tasks leading to the completion of the conceptual alignment development for the project. Task 4- University Avenue to Greenhill Road Task 5 -Greenhill Road to Exceptional Persons Final Construction Plans and Specifications Tasks 6-21. These tasks include developing final construction plans and specifications for the pedestrian access routes. These tasks will include work necessary to complete the grading, paving, signal modifications, utility relocation and pavement marking plans and specifications for the improvements. Included in these tasks will be the typical cross-sections, tabulations and quantities, final plan and profile sheets, intersection details, utility relocation design and tabulations, pavement marking and signing,fencing modification plans,construction cost estimate and technical specifications. These tasks will include work necessary to complete the final design, project plans and specifications and the printing of the documents for a City of Waterloo letting. The following specific tasks lead to the completion of the final grading, paving and utility plans for the project. Task 6-Title and Legend Sheets Task 7-Typical Sections and Details Task 8- Bid Items, Estimate Reference Notes and General Notes Task 9 -Tabulations and Quantities Task 10 - Plan and Profile Sheets Task 11 - Geometric Layout Sheets Task 12 -Construction Staging and Traffic Control Sheets Task 13- Intersection Details Task 14- Pollution Prevention Plan Task 15 - Earthwork Task 16 - Design Cross Sections Task 17—Signing, Pavement Markings and Traffic Signal Modification Task 18 - Fencing Modifications Task 19 -Construction Cost Estimate Task 20 -Specifications Task 21 - Field Review AECOM Page 4 Project Administration, Permitting and Meetings Tasks 22-25. These tasks include project administration, permitting, coordination and meetings throughout the project development. Permitting for the project is anticipated to include an Iowa DOT construction permit and the NPDES construction permit. These tasks also include pre-letting activities and general project administration. The following identifies tasks leading to the completion of project administration, meetings and coordination during the design phase of the project. Task 22- Project Meetings Task 23- Permitting Task 24- Pre-Letting Activities Task 25 - Project Administration Phase II- Construction-Related Services The scope of construction-related services will be determined at the time the services are needed and defined under a future amendment to this Agreement. Construction-related services include construction staking, on-site field review, materials testing,contract administration during construction and right-of-way staking including new property pins. PART II CLIENT'S RESPONSIBILITIES Client, at its expense, shall do the following in a timely manner so as not to delay the Services. A. INFORMATION/REPORTS Furnish ATS necessary information/reports, all of which ATS may rely upon without independent verification in performing the Services. B. REPRESENTATIVE Designate a representative for the Project who shall have the authority to transmit instructions,receive information, interpret and define Client's policies and make decisions with respect to the Services. C. DECISIONS Provide all criteria and full information as to Client requirements for the Project, obtain (with ATS's assistance, if applicable) necessary approvals and permits, attend Project-related meetings, provide interim reviews on an agreed-upon schedule, make decisions on Project alternatives, and generally participate in the Project to the extent necessary to allow ATS to perform the Services. AECOM Page 5 PART III COMPENSATION, BILLING, AND PAYMENT Client shall pay ATS for the Services in accordance with the following: A. COMPENSATION Compensation for the services shall be on an hourly basis in accordance with the hourly fees and other direct expenses in effect at the time the services are performed. Total compensation is an estimated fee of Nineteen Thousand Five Hundred Dollars ($19,500.00) and shall not be exceeded without authorization of the Client. B. BILLING AND PAYMENT ATS Tech may bill the Client monthly for services completed at the time of billing,with net payment due in 20 days. Past due invoices will be subject to a service charge at the rate of 1% per month per request by ATS. Unless Client provides ATS with a written statement of any objections to the bill within 15 days of receipt, Client shell be deemed to accept the bill as submitted.
