Facilities Use Agreement
BLACK HAWK COUNTY
And
The City of Waterloo, Iowa
This Facilities Use Agreement is entered into as of January 12 , 20 09 (the "Effective
Date"), between BLACK HAWK COUNTY and the City of Waterloo, Iowa .
Subject to the terms of this Agreement, the City of Waterloo, Iowa agrees that Black Hawk
County may use the following space at their building located at 715 Mulberry Street for the
following, and for no other purpose:
To allow employees working in the courthouse access to the lobby of the building located at
715 Mulberry Street in the event of an emergency that necessitates evacuation of employees
from the courthouse during inclement weather.
When using the space at 715 Mulberry Street , Black Hawk County agrees to comply with the
applicable policies and procedures set by the City of Waterloo, Iowa regarding their building.
Black Hawk County also agrees to take good care of the Space to be used and leave it in as
good order and condition as it was prior to our use. In addition, the Second Party assumes full
responsibility for the character, acts, conduct and consequences thereof for all persons entering
upon or into the premises during the period set forth in this agreement.
The term of this agreement will begin on the Effective Date and end when this Agreement is
terminated by either party upon ten (10) days prior written notice to the other party.
Interpretation. This Agreement constitutes the entire agreement and understanding of
the parties with respect to its subject matter. This Agreement may not be modified or amended
except by written instrument signed by both parties.
Relationship. Neither Black. Hawk County nor any personnel of Black Hawk County will
for any purpose be considered employees or agents of the City of Waterloo . Black Hawk
County assumes full responsibility'or the actions of their personnel, and is solely responsible for
their supervision, direction and control.
Authority. The individual s gning below on behalf of Licensee hereby represents and
warrants that s/he is duly authorized to execute and deliver this Agreement on behalf of Licensee
and that this Agreement is binding upon Licensee in accordance with its terms.
