(ATS) 501 Sycamore, Suite 222 P.O. Box 1497 Waterloo, Iowa 50704-1497 Who agree as follows: Client hereby engages ATS to perform the services described in Part I ("Services")and ATS agrees to perform the Services for the compensation set forth in Part III. ATS shall be authorized to commence the Services upon execution of this Agreement. Client and ATS agree that this signature page, together with Parts I-IV and attachments referred to therein, constitute the entire Agreement between them relating to the Project ("Agreement"). PROJECT DESCRIPTION The Project consists of reviews of various aspects of the Wastewater Pollution Control System for the City of Waterloo, Iowa. The review will include elements at the Waterloo Pollution Control Facility (WPCF),the sanitary sewer collection system, sanitary sewer pumping station, eastside and westside sanitary sewer interceptors and the anaerobic lagoon. B. SCOPE OF SERVICES Services to be provided under this agreement include collection of data for the various review elements, analysis of issues needing resolution and preparation of applicable documents for each review area. The services are further defined by the appropriate areas as follows: 1. WPCF Capacity and Permit Issues a. Review existing operating records and discuss operating procedures with WPCF staff. b. Compare operating conditions against original design values and identify any differences and reasons therefore. c. Evaluate satellite facility and discuss items necessary to make the facility operational. d. Prepare a start-up plan for the satellite facility. e. Submit a letter report to Iowa Department of Natural Resources (Iowa DNR) describing capacity issues and future operation to maintain operating efficiency before start-up of the satellite facility. f. Assist WPCF staff in NPDES Permit issues raised by Iowa DNR. 2. Diffuser Operation and Bathymetric Report a. Conduct field survey of the Cedar River at the diffuser and compare it against original river sections. b. Conduct dye water discharge at the WPCF and observe and record the diffuser discharge. c. Prepare a letter report and submit it to the Iowa DNR describing the existing diffuser operation and outlining any modifications which may be needed. 3. Air Permit Application a. Prepare an Iowa DNR air permit application for the digester gas flare at the WPCF. b. Prepare an Iowa DNR permit application for the flare(s) at the anaerobic lagoon. c. Determine if an air permit is needed for the Odor Control Facility at the WPCF or if the Odor Control Facility qualifies for a small unit exemption. d. Review data requirements for the air permit or the exemption to see which is the best option for the WPCF. e. Submit an application for the permit or the exemption depending on which is determined to be the better option. AECOM Page 3 4. Sanitary Sewer Collection System Review a. Compile existing records from the Client for sanitary sewer system, including I/I reports, maintenance records, television inspection reports and problem areas. b. Organize the existing information in a format to facilitate review of the data and data needs. c. Meet with WPCF staff to review problem areas and suspected causes and possible remedies. d. Work with WPCF staff to prioritize I/I reduction by area, level of difficulty and potential costs. e. Prepare a -eport to identify current problems, known issues and supporting documents, identify additional needs for I/I identification: smoke testing, television inspection, flow metering, modeling or other I/I analysis tools. f. Work with City staff to identify policies, procedures and ordinance requirements to reduce extraneous flow sources from the sanitary sewer for existing and/or future connections. 5. Pumping Station Reviews a. Review existing records from sanitary sewer pumping stations regarding operation and maintenance issues. b. Meet with WPCF staff to review problem areas and issues at the sanitary sewer pumping stations. c. Review needs for upgrading pumping stations for capacity, maintenance, replacement, structural issues and future development needs. d. Prepare a report to identify the priorities for implementing improvements to the sanitary sewer pumping stations, including estimated costs for the various improvements. 6. Eastside and Westside Sanitary Sewer Interceptors a. Compile existing records of the eastside and westside interceptor sewers, including plans, reports, soils information and flood control facility plans in the vicinity of the interceptor corridors. b. Prepare a report outlining the construction phasing for the eastside and westside interceptor sanitary sewers. c. Coordinate the construction phasing with the Corps of Engineers(COE)flood control facilities. d. Coordinate the construction phasing with the City's economic development plans in the interceptor corridors. e. Coordinate the construction phasing with budget constraints so that the projects can be constructed with available funds. 7. NPDES Storm Water Discharge Permit a. Assist WPCF staff to prepare a storm water discharge permit application in accordance with Iowa DNR requirements. b. Submit the permit application to Iowa DNR. c. Prepare a procedures manual outlining operational or sampling requirements needed to maintain compliance with the storm water discharge permit requirements. AECOM Page 4 8. Anaerobic Lagoon Review a. Compile existing records of anaerobic lagoon performance and operational issues. b. Identify improvements needed for operation of the anaerobic lagoon. c. Prepare cost estimate for cleaning anaerobic lagoon solids and grease. d. Meet with WPCF staff and Tyson Foods to review needs and cost estimates. e. Prepare a report for presentation to the Council. Design Services The final scope and fees for Design Services will be determined at the time the services are needed and defined in a future amendment to this agreement. Construction-Related Services The final scope and fees for construction-related services will be determined at the time the services are needed and defined in a future amendment to this agreement. PART II CLIENTS RESPONSIBILITIES Client, at its expense, shall do the following in a timely manner so as not to delay the Services. A. INFORMATION/REPORTS Furnish ATS necessary information/reports, all of which ATS may rely upon without independent verification in performing the Services. B. REPRESENTATIVE Designate a representative for the Project who shall have the authority to transmit instructions,receive information, interpret and define Client's policies and make decisions with respect to the Services. C. DECISIONS Provide all criteria and full information as to Client requirements for the Project, obtain (with ATS's assistance, if applicable) necessary approvals and permits, attend Project-related meetings, provide interim reviews on an agreed-upon schedule, make decisions on Project alternatives, and generally participate in the Project to the extent necessary to allow ATS to perform the Services. AECOM Page 5 PART III COMPENSATION, BILLING, AND PAYMENT Client shall pay ATS for the Services in accordance with the following: A. COMPENSATION Compensation for the services shall be on an hourly basis in accordance with the hourly fees and other direct expenses in effect at the time the services are performed. Total compensation is an estimated fee of One Hundred Forty-Eight Thousand Dollars ($148,000.00) and shall not be exceeded without authorization of the Client. Compensation for the Design and Construction-Related Services shall be negotiated at the time the services are defined and included by amendment to this agreement. B. BILLING AND PAYMENT ATS may bill the Client monthly for services completed at the time of billing,with net payment due in 30 days. Unless Client provides ATS with a written statement of any objections to the bill within 15 days of receipt, Client shall be deemed to accept the bill as submitted. Services shall be performed in accordance with the danger to the public health,safety or the environment. Client shall execute any standard of professional practice ordinarily exercised by the applicable profession manifests or forms in connection with transportation, storage and disposal of at the time and within the locality where the Services are performed.
