The City of Waterloo is released from the conditions and restrictions of the Grant Agreements issued to date under the various grant-in-aid programs, insofar as this land is concerned. Enclosed are two executed copies of an agreement setting forth provisions to be included in the instrument of conveyance transferring the land. A copy of the deed conveying this property, with the appropriate restrictions and recordation information, should be provided to this office along with a copy of the revised Exhibit A, Property Map. A copy of this letter and the revised Exhibit A, Property Map, should be attached to the City's copy of the grant agreement for Project Number 3-19-0094-36, the most current grant agreement for the airport. A notation should be made on the face of that grant agreement referencing this release. Future references to airport boundary lines (i.e., ALP, Airport Master Plan, Land Use Plans, FAA Form 5010) should also be adjusted to reflect this release.9S' cerely, ..$ 4 ?.reZ-- im A. Earth Tech 7- 3 ? -off • AMENDED AGREEMENT ���,,p, OD�j-�f'I 44, THIS AMENDED AGREEMENT is entered into on this Z day of 3 t�, 200$, between the United States of America, hereinafter referred to as the Federal Aviation Administration (FAA), and the City of Waterloo, hereinafter referred to as the City. For and in consideration of the benefits accruing to the City and the FAA, the parties hereto covenant and agree that: 1. The FAA shall, subject to the provisions set forth herein, release from the conditions and restrictions, parcels of land containing approximately 43.03 acres, located at the Waterloo Regional Airport, as described and depicted on the attached Exhibit A. 2. The City shall not sell or dispose of the parcels containing approximately 43.03 acres for less than fair market value and in any event not less than $223,236. 3. The City shall cause to be included in the instrument of conveyance the following provisions: a. The Grantor reserves and excepts to itself, its successors and assigns, for the use and benefit of the public, a right of flight for the passage of aircraft in the airspace above the surface of the real property herein described, including the right to cause in said airspace any noise inherent in the operation of any aircraft used for navigation of or flight through such airspace, for landing on or taking off from or operating on the Waterloo Regional Airport. b. The City of Waterloo, through grant agreements with the Federal government, has assured that it will take appropriate action to restrict the use of land adjacent to or in the immediate vicinity of the airport to activities compatible with normal airport operations. Any non-compatible use of the subject land by the Grantee, its successors or assigns, may jeopardize federal funding for future airport projects under any Grant-in-Aid program administered by the FAA. c. The Grantee expressly agrees for itself, its successors and assigns, to prevent any use of the herein-described real property which would interfere with landing or taking off of aircraft at the Waterloo Regional Airport, or otherwise constitute an airport hazard. 2 d. The Grantee expressly agrees for itself, its successors and assigns, to restrict the height of structures, objects of natural growth, and other obstructions on the herein described real property to a height of 943 feet Above Mean Sea Level (AMSL) or other height as determined by an FAA airspace review under Federal Aviation Regulation(FAR) Part 77. 4. That portion of the proceeds obtained from the sale of said 43.03 acres which is proportionate to the Government's share of the cost of acquisition of such land (43.03 acres participated in with Federal funds at a rate of 50%, or$111,618) shall be placed in a special income producing airport account and the sum of$111,618 shall be used for items of airport development set forth in the National Plan of Integrated Airport Systems (NPIAS) and/or other items as agreed to by the FAA. The City shall account to the FAA for all agreed to expenditures of these funds. 5. Sale proceeds shall not be used as matching funds in order to qualify for a Grant-in-Aid under any program administered by the FAA.
