review and repair of an existing floodgate between Highway 218 and Westfield Avenue along Black

Structure - Between Hwy 218 &Westfield Avenue along Black Hawk Creek
Dear Jamie,
VJ Engineering is pleased to submit this proposal for professional services related to the repair of
the existing floodgate between Highway 218 and Westfield Avenue along Black Hawk Creek.
Following is a summary of the scope of services anticipated for this project:
• Obtain photos of the site to document existing conditions
• Obtain as-built drawings of the flood control system in the vicinity of the floodgate area
• Obtain existing utility information in the vicinity of the repair area
• Research repair options for the existing flood gate
• Develop a list of advantages and disadvantages for each repair option
• Develop costs for each repair option
• Submit to the City a recommendation of the most desirable option
• Develop plans and specifications for the repair of the floodgate
• Assist in the bidding of the project to contractors
We anticipate the submittal of a report detailing options, and associated costs, on or before April 23,
2007. Following approval of the desired option, VJ Engineering will develop plans and
specifications for the repair of the floodgate structure. We anticipate delivery of the plans and
specifications on or before May 21, 2007.
The fee for the work detailed above will be a lump sum maximum not-to-exceed fee of $11,500.
Two copies of the contract are included for your review. Please sign, where indicated, and return
one signed copy to our office for our records. Please keep one copy for your files. The attached
Terms & Conditions are considered part of this agreement.

TERMS AND CONDITIONS
VAN WINKLE JACOB ENGINEERING, INC. DB/A VJ ENGINEERING (hereinafter referred to as "THE FIRM") shall
perform the services outlined in this agreement for the stated fee arrangement.
Access to Site: The Finn shall have site access to perform all services necessary in completing a project. The Firm
agrees to take the necessary precautions to minimize damages caused by such activities. Unless otherwise agreed or
caused by The Firm's negligence,all cost of restoration shall be born by Client and are not included in the fee.
Warranties: The Firm shall provide the best professional services in accordance with accepted standards and shall
maintain high professional standards for all work performed in conjunction with the Project. Other than the above, the
Firm makes no warranty,express or implied,as to its professional services rendered under this Agreement.
Fees: The anticipated fee for time&materials, if stated,shall be understood to be an estimate. All expenses relating to
the project agreed upon here may be invoiced back to the customer. These expenses may include but are not limited to;
mileage, legal fees, software fees, plotting and copying fees, permitting fees, and travel expense. During the course of
the project if the time expended is more than this fee,the Client will be contacted with an explanation of the fee and/or a
change order form to sign. Where the fee arrangement is to be on an hourly basis,the rates shall be those that prevail
at the time services are rendered. Current rates are as follows:

Billings/Payments: Invoices for the Firm's services shall be submitted, at the Finn's option, The Firm may submit
invoices either upon completion of the services or throughout the life of the project. Invoices shall be paid within 15
days of the invoice date. If the invoice is not paid within 30 days The Finn may terminate all services free of liability.
The Firm does not waive any claim or right against Client by terminating services for nonpayment. Only The Firm's
General Manager has authority to enter into alternative payment agreements. No Secondary payment agreement shall be
binding upon The Firm unless agreed to in writing by the General Manager.
Late Payments: Invoices that are not paid within 45 days of the invoice date may be assessed a Late Fee. The Client
shall pay all cost including court costs and reasonable attorney fees associated with collecting any unpaid balance.
Termination of Services: This agreement may be terminated by the Client or the Firm should the other fail to perform its
obligations hereunder. In the event of termination,the Client shall pay the Finn for all services rendered to the date of
termination,all reimbursable expenses,and reimbursable termination expenses.
Ownership of Documents: All documents produced by the Firm under this agreement shall remain the property of the
Firm and may not be used by the Client for any other endeavor without the express written consent of the Finn.
Applicable Laws: This agreement shall be governed by the laws of the State of Iowa.
