J / 0 / AN ORDINANCE CREATING THE WATERLOO REDEVELOPMENT AUTHORITY TO ACT AS AN AGENT FOR THE CITY FOR THE PURPOSE OF CENTRAL BUSINESS DISTRICT DEVELOPMENT AND REDEVELOPMENT. WHEREAS, the Legislature of the State of Iowa has enacted Chapter 392, Administrative Agencies; and WHEREAS, Chapter 392.1, authorizes a municipality to create a Development Authority to act as an agent for a municipality for the purpose of Central Business District development and redevelopment; and WHEREAS, it is considered essential to the economic and social welfare of the City of Waterloo that the Central Business District be maintained and revitalized by assuring opportunities for development and redevelopment and attracting sound and stable commercial growth; and WHEREAS, the exercise of powers provided in this ordinance is dedicated to the promotion of the public interest and to the enhancement of the tax base of the Central Business District, and the use of such powers for the development of the Central Business District of the City of Waterloo is hereby declared to be a public use essential to the public interest. NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF WATERLOO, IOWA, THAT: Section I. CREATION AND PURPOSE There is hereby created a commission to act as agent for the City of Waterloo and for the purpose of the development and redevelopment of the Central Business District in the City of Waterloo which shall be known as the Waterloo Redevelopment Authority. Section II. ' COMMISSION RULES GENERALLY. (a) Composition. The Waterloo Redevelopment Authority shall consist of eighteen (18) members: The Mayor, Planning Director, and Community Development Director shall automatically be members by appointment or election to their respective office. The remaining fifteen (15) members shall be appointed by the Mayor from the City-at-large subject to the approval of the City Council. As much as possible the fifteen (15) members-at-large should represent the following groups: two (2) members from investment or financial groups; three (3) members from merchants/owners/business groups, one (1) lawyer, one (1) industrial representative, one (1) medical professional, (1) City Council Member, one (1) business development specialist, with the remaining five (5) members to represent the community-at-large in order that the purpose of the Waterloo Redevelopment Authority be fulfilled. (b) Term of Office. The fifteen (15) members of the Waterloo Redevelopment Authority from the City-at-large shall serve a term of office of four (4) years, except that five (5) of the members first named shall serve terms of three (3) years, and five (5) shall serve terms of two (2) years. (c) Filling Vacancies. A vacancy in any board position for any reason whatsoever should be filled by recommendations from the Waterloo Redevelopment Authority with the approval of the Mayor and the City Council. (d) Compensation. All members of the Waterloo Redevelopment Authority shall serve without compensation except their actual expenses, which shall be subject to the approval of the Council. (e) Organization. The Chairman of the Authority shall be elected from and by the Authority members for a term of one (1) calendar year. The Chairman should be one of the fifteen (15) members from the community-at-large. The Authority shall have the power to establish bylaws and rules in conformity with the authority to elect or appoint such other officers as the Authority deems necessary, but the Chairman of the Authority or any other officer appointed or elected by the Authority may be removed at any time by majority vote of the duly appointed members of the Authority. (f) Committees. The Authority shall establish any and all committees deemed necessary for the execution of its powers and duties. BOOK 235 PAGE 563 , P /1/ Section III. POWERS AND DUTIES (a) The Waterloo Redevelopment Authority shall have full power and authority to make or cause to be made such surveys, studies, maps, plans or charts of the whole or any portion of the Central Business District, and of any land outside thereof, which in the opinion of such Authority bears relation to the development or redevelopment of the District, and shall submit these studies to the Council. The Authority may publish its studies and recommendations. (b) No proposal for the development, redevelopment, or modification of the Central Business District or a portion thereof shall be made without such proposal or change being first referred to the Waterloo Redevelopment Authority and such Authority shall have had thirty (30) days within which to file its recommendation thereon to determine whether said proposal is in conformance with the currently adopted Central Business District Plan. If said proposal is subsequently approved by the Authority, the normal process for obtaining building and construction per- mits may proceed. If the Authority recommends disapproval of any proposal or mod- ification thereof, the developer may appeal to the City Council within fifteen (15) days of said disapproval; however, the City Council may only override the recom- mendation of the Authority and approve the .proposed development by the affirmative vote of at least two-thirds of all members of such Council. (c) All signs and/or street amenities shall be reviewed by the Waterloo Redevelopment Authority, its designated staff, and/or agency of its designation to insure their compatibility with the overall Central Business District design con- cept. If any person wishes to appeal any decision made by the Authority or its staff, they may do so as outlined in paragraph (b) above. (d) The Authority shall have the power to acquire real estate within the Central Business District by donation, lease, or purchase, as may be deemed neces- sary for purchases of the Central Business District development or redevelopment. The Authority shall also have the authority to sell, exchange, or lease any real estate acquired by it, subject to the approval of the City Council. No real estate which shall be determined to affect the district shall be bought or sold without first receiving a recommendation of the Authority. (e) The Waterloo Redevelopment Authority would act as an agent for the City of Waterloo in representing the Downtown 80's Development District, by per- forming the following functions: 1) Make recommendations to the Waterloo City Council regarding the exercise of the use of eminent domain for the acquisition of real or personal property for the purpose of a development or redevelopment project; 2) Make recommendations to the Waterloo City Council with regard to the application for and acceptance of capital grants and loans from the United States and the State of Iowa or any instrumentality of the United States or the State for the Central Business District development and redevelopment to assist the Waterloo City Council in making application for said capital grants and loans; 3) Make recommendations to the Waterloo City Council with regard to the borrowing of funds as may be deemed necessary for the purpose of Central Business District development and redevelopment, and in this connection make rec- ommendations regarding the issuance of such obligation or revenue bonds as may be deemed necessary, subject to applicable statutory limitations; 4) Make recommendations to the Waterloo City Council with regard to the procedures, policies, and/or ordinances for the planning, execution, and im- plementatton of Central Business District plans. ,.WL _ BOOK 235 PAGE 564 Section IV. FUNDS. (a) Appropriation of Funds. The Council may annually appropriate a .an of money from the general funds for the payment of the expense of such an Authority. (b) Expenditure of Funds. The Waterloo Redevelopment Authority shall have full, complete and exclusive authority to expend for and on behalf of such municipality all sums of money so appropriated. (c) Grants, Gifts and Donations. All grants, gifts, donations or payments whatsoever which are received by such municipality on behalf of the Waterloo Redevelopment Authority for downtown development or redevelopment purposes shall be placed in the Waterloo Redevelopment Authority Fund to be used by said Authority in the manner and for the purposes designated by this article. (d) Debt Contracting Powers. The Authority shall have no power as to contract debts beyond the amount of its income for the current year. Section V. STAFF AND PROFESSIONAL CONSULTANTS Subject to the limitations contained in this article as to the expenditure of funds, the Authority may appoint such staff as it may deem necessary and pre- scribe and define their respective duties and fix and regulate the compensation to be paid to the persons employed by it. The autority may contract with professional consultants or County, Regional, State and Federal Governments for local planning assistance and may agree with each or all of them as to the amount, if any, to be paid for such assistance. Section VI. ANNUAL REPORT (a) The Authority each year shall make a report to the Mayor and Council of its proceedings and the progress of its work for the preceding fiscal year.
