PUBLIC NOTICE IS HEREBY GIVEN that the above mentioned governmental body will meet at the date, time and place above set out . The tentative agenda for said meeting is as follows: - Resolution Authorizing Printing of Duplicate Bonds . Such additional matters as are set forth on the addi- tional page(s ) attached hereto. There were present Mayor Bernard L. McKinley , in the chair, and the following named Council Members: Brown, Dell, Buck, Fox, Angel, Wright, and Budak Absent: none * * * * * * * -1- AHLERS,LOONEY,DORWEILER,HAYNIE,SMITH&ALLBEE ATTORNEYS AT LAW DES MOINES.IOWA Council Member Buck introduced the following Resolution and moved its adoption. Council Member Fox seconded the motion to adopt . The roll was called and the vote was : AYES : Brown, Dell, Buck, Fox, Angel, Wright and Budak NAYS: none Whereupon the Mayor declared the following Resolution duly adopted: RESOLUTION NO. 1988-471 RESOLUTION AUTHORIZING PRINTING OF DUPLICATE BONDS WHEREAS , this City Council did on August 9, 1982, adopt Resolution Number 1982-365 entitled "RESOLUTION AUTHORIZING AND PROVIDING FOR THE ISSUANCE OF $8, 375,000 GENERAL OBLIGATION BONDS AND LEVYING A TAX TO PAY SAID BONDS, " ; and WHEREAS , Bear, Stearns & Co. , Inc. of New York , New York, on behalf of Ruth M. Turivas, as holder of certain obligations of said issue dated August 1, 1982, numbered 1240 through 1242 inclusive in the denomination of $5,000 each, maturing May 1 , 1994, has requested the Council issue certain duplicate bonds in the aggregate principal amount of $15,000 with duplicate interest coupons attached in the aggregate amount of $19,035.00, said original bonds with interest coupons attached having been lost, stolen, or destroyed; and WHEREAS, the Council has been provided with satisfactory evidence of proof of loss of said bonds and coupons; and WHEREAS, the Council has been provided with a satisfactory indemnity bond of Federal Insurance Company of Warren, New Jersey, sole obligor, indemnifying the City in the event any or all of the original bonds or coupons are inadvertently paid or presented for payment by a bonafide holder in due course: NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WATERLOO, IOWA: Section 1. That there are hereby authorized to be issued duplicate negotiable General Obligation Bonds with attached interest coupons of the City of Waterloo, Iowa, numbered 1240 through 1242 inclusive , each in the same form as originally -2- AHLERS,COONEY,DORWEILER,HAYNIE,SMITH&ALLBEE ATTORNEYS AT LAW DES MOINES.IOWA authorized by the Council and designated as "General Obligation Bond Corporate Purpose-Duplicate" and with "Duplicate" affixed to each of the corresponding interest coupons appertaining to each bond. Section 2. That said duplicate bonds and coupons of like tenor, amount, date and maturity shall be deemed to be issued in lieu of and substitution for each of the bonds so numbered of the original issue and shall be so noted on the books of the City Treasurer kept for that purpose. Section 3. That the appropriate officers of the City are authorized to proceed with the printing of duplicate bonds and coupons and to execute the duplicate bonds in the same manner as provided with respect to the original bonds . Section 4. That said duplicate bonds with attached duplicate coupons be delivered to Bear, Stearns & Co. , Inc. of New York, New York, on behalf of Ruth M. Turivas, holder of the bonds , upon receipt from said bondholder of an indemnity bond in the total amount of $68, 070 payable to the City of Waterloo and indemnifying the City in the event any or all the missing coupons or bonds are inadvertently paid and upon agreement by said bondholder to reimburse the City for the actual expense incurred by it in connection with the issuance of the duplicate bonds and interest coupons . Section 5. That in the event that any or all of the original bonds or coupons shall be inadvertently or for any reason paid by the City or presented for payment by a bonafide holder in due course, or if the City shall incur any expense or liability by reason of refusing to honor the original bonds or coupons the aforesaid indemnity bond shall be immediately enforced. McKinley ATTEST: 1 Deputy City Clerk Michelle Temeyer -3- AHLERS,COONEY,DORWEILER,HAYNIE.SMITH&ALLBEE ATTORNEYS AT LAW DES MOINES.IOWA CIG-3 4-85 CERTIFICATE STATE OF IOWA SS COUNTY OF BLACK HAWK ) Deputy I , the undersigned/City Clerk of Waterloo, Iowa, do hereby certify that attached is a true and complete copy of the portion of the corporate records of said Municipality showing proceedings of the Council, and the same is a true and complete copy of the action taken by said Council with respect to said matter at the meeting held on the date indicated in the attachment, which proceedings remain in full force and effect, and have not been amended or rescinded in any way; that meeting and all action thereat was duly and publicly held in accordance with a notice of meeting and tentative agenda, a copy of which was timely served on each member of the Council and posted on a bulletin board or other prominent place easily accessible to the public and clearly designated for that purpose at the principal office of the Council (a copy of the face sheet of said agenda being attached hereto) pursuant to the local rules of the Council and the provisions of Chapter 21, Code of Iowa, upon reasonable advance notice to the public and media at least twenty-four hours prior to the commencement of the meeting as required by said law and with members of the public present in attendance; I further certify that the individuals named therein were on the date thereof duly and lawfully possessed of their respective city offices as indicated therein, that no council vacancy existed except as may be stated in said proceedings, and that no controversy or litigation is pending, prayed or threatened involving the incorporation, organization, existence or boundaries of the City or the right of the individuals named therein as officers to their respective positions .
