General Statement: This Contract for Services, henceforth referred to as "Contract", is between Service Provider and Sponsor to complete the scope of work provided in Attachment 2. In performing the stated scope of work Service Provider shall operate as an independent entity and not an employee or agent of Sponsor. Service Provider shall not subcontract any aspects of the project without prior written approval by Sponsor. 2. Invoicing & Payments: Sponsor shall pay Service Provider an amount not to exceed the Project Cost identified in the second line of this Contract for the services identified in Attachment 2 according to the generally accepted terms of the contract type identified in the Financial Terms section above. Payments will be made based on Service Provider standard invoice template. Service Provider shall invoice no more than monthly. A final invoice marked "Final" will be submitted to Sponsor no later than 90 days after the end date of this Contract. Service Provider shall include a copy of the invoice with payment. Service Provider shall submit just one invoice at the end of the period of performance and once services are provided for the full lump sum of this agreement.. 3. Allowable Costs: Allowable costs and expenditures shall follow Sponsor's financial acquisition and expensing policies and shall not be in violation of applicable Iowa Code and the Iowa Administrative Code. No costs shall be incurred under this Contract prior to the start date or after the end date of this Contract. 4. Service Provider Internal Financial Controls: Service Provider hereby certifies that it has financial internal controls in place that ensure industry applicable regulatory compliance and adherence to industry standard cost accounting systems. 5. Technical Reporting: Matters concerning Service Provider technical performance should be directed to the Service Provider Technical Contact. Reporting intervals and formatting requirements, if applicable, shall be described in Attachment 2. 6. Administrative Requests: Changes to the terms and conditions of this Contract must be done so via bilaterally agreed upon written amendment. 7. Indemnification: Each party shall be responsible for its negligent acts or omissions and the negligent acts or omissions of its employees, officers, directors, and agents to the extent allowed by law. 8. Copyright: All copyrightable materials developed during the implementation of this contract's scope of work, such as but not limited to audiovisuals, computer programs, software, publications, curricula, research materials, training materials, etc. shall be vested with Sponsor. Service Provider is granted a royalty-free, non-exclusive, and irrevocable license to reproduce, publish, or otherwise use copyrighted materials for the Service Provider's normal business operations. Such permissions shall only be granted by written permission by Sponsor to Service Provider via an agreement separate of this Contract. Intellectual Property: Title to all intellectual property developed during and resulting from the work performed under this Contract shall be owned by Sponsor. Service Provider is granted permissions for royalty-free, non- exclusive, and irrevocable rights to reproduce, publish, or otherwise use intellectual property resulting from work performed under this Contract for use in performing Service Provider's normal business/operating purposes. 10. Confidentiality: For the purpose of implementing this Contract either party (Discloser) may disclose information to the other party (Receiver) it considers confidential. Any exchange of confidential information must be declared in writing by Discloser to Receiver as being confidential and if special protections are deemed necessary to protect such confidential information Discloser shall propose an amendment to this Contract detailing the special terms and conditions related to the disclosed confidential information. Said amendment shall require bilateral agreement to be valid. 11. Certifications and assurances: By signing the Contract, the authorized official of Service Provider certifies, to the best of his/her knowledge and belief that: a. Non-Discrimination. In accordance with federal and state law and Sponsor policy, the parties agree not to discriminate against any person on the basis of sex, race, creed, national origin, color, religious belief, age, disability, sexual orientation, gender identity, status as a disabled veteran or veteran of the Vietnam era, or any other basis protected by law in the performance of this Agreement. b. Conflict of Interest. The Service Provider certifies that it has established written policy guidelines on conflict of interest and the avoidance thereof and that in performing the work related to this Agreement the Service Provider shall adhere to and monitor its policy. c. Debarment, Suspension, and Other Responsibility Matters. Service Provider certifies by signing this Service Provider Agreement that neither it nor its principals are presently debarred, suspended, proposed for debarment, declared ineligible or voluntarily excluded from participation in this transaction by any federal department or agency. 12. Integration: This Contract and Attachments contain the entire agreement between the parties, and no statements, promises, or inducements made by either party or agent of either party that are not contained in this written Contract shall be valid or binding; and this Contract may not be enlarged, modified, or altered except in writing signed by the parties. 13. Termination: Either party may terminate this Contract for cause or convenience with thirty days written notice. 14. This proposal presents a manual digitizing workflow to accomplish that overall goal. The City of Waterloo Traffic Operations has shared the categorization of types of features (pasted below) and the Iowa Department of Transportation (DOT) road plan schematics. The GeoTREE Center has also compiled a set of examples in the Appendix at the end of this document. This information will help the GeoTREE Center formulate the plan for the database and guide digitization of features. 1. Colored Pavement Areas: o Green o Yellow Median Nose 4 Docusign Envelope ID:722763F4-1 F54-4496-BA4C-953837DF90A0 Contract#: Proposed Workflow: The proposed workflow will involve the following steps: • In the beginning of the project, meet with City of Waterloo Traffic Operations staff for project planning o The GeoTREE Center will come with a proposed geodatabase schema but also with questions and flexibility for adapting based on staff recommendations. • Define a GIS database schema in collaboration with City of Waterloo Traffic Operations and GIS staff. The majority of features will be instituted as line features but during database design some might be set up as either points (e.g. bike lane symbols)or polygons (e.g. turn arrows) o The Geodatabase will have Subtypes set to list of possible feature types above and a Domain for the categories. When a new subtype feature is set it will automatically set the category feature. For example, when `Dashed Lane Lines' is chosen the Category attribute would set `Longitudinal Markings'. ■ If extra attributes are needed these can be added in. So, for example a Domain could be set up also to record condition of the marking with available choices being possibly Good, Fair, Poor. A default value would be triggered but then the worker could change that default value if visual inspection calls for it. • E.g. Good (>90% intact paint), Fair(50-90% paint intact), Poor(<50% paint intact). o Through visual inspection of imagery GeoTREE student research assistants will digitize features using the defined File Geodatabase schema ■ The GeoTREE Center has already obtained high resolution 2024 imagery from Black Hawk County GIS Coordinator Natalie Nunez. ■ Google Street View will be used as an ancillary source of information for making decisions o In addition to attribute rules described above the GeoTREE Center will build in topological rules to ensure geometric integrity in features. The project could begin my March 15, 2025 and be finished by August 31, 2025.
