Flint Hills Resources, LP (FHR) is pleased to offer the following quotations for your bituminous requirements for the 2025 paving
season. Buyer hereby accepts the FHR Standard Terms of Sale, which may be found in the link at the bottom of this page and are
incorporated as part of this Agreement.

Sampling and testing of the product listed on the BOL will be conducted in accordance with the Quality Control Plan for Asphaltic
Materials most recently submitted to the Iowa Department of Transportation. Acceptance of, or purchase from, a Sales
Agreement corresponding to this bid document will be construed as acceptance of this testing process and/or any other Flint Hills
Resources, LP change, modification, or deletion contained herein.
For clarification, Flint Hills Resources, LP (FHR) cannot comply with the MEASUREMENT section out lined in the Specifications and Bid
Proposal for Asphalt Emulsions. It reads as follows: "Each load shall be delivered with a producer's scale ticket showing gross, tare, and
net wights converted to net gallons." Instead of a scale ticket, FHR will provide a bill of lading with each Toad that will show gross
weight, tare weight and net tons on board. In addition, the BOL will list a typical weight per gallon for reference.
All product orders should be made at least 24 hours in advance.
This quote is good for3 days from the date above unless otherwisenotedfrom FHR and is subject to any other conditions listed
below. All sales require a valid line of credit be established with FHR.
Additional Considerations:
1. Quote is good until City of Waterloo, IA awards 2025 work.
2. FHR will bill and invoice using the per ton price stated on this quote letter.
3. Emulsions will be available May 15, 2025 to September 15, 2025.
4. CSS-1H D20 typical W.P.G. @ 60 degrees Fahrenheit is 8.51. Approximate gallons per ton is 235. CRS-2P typical W.P.G.
@ 60 degrees Fahrenheit is 8.50. Approximate gallons per ton is 235. This gallon per ton data can be expected to vary
1% or more. The data represents an estimate of typical asphalt product characteristics, but does not represent a
binding specification.

SUBMISSION OF BIDS AND BID OPENING:
Sealed bid proposals will be received by the City of Waterloo Clerk's Office; 715 Mulberry Street;
Waterloo, Iowa 50703, until 1:00 pm, on April 17, 2025. Any bid submitted after the specified time shall
be rejected. Bids will be publicly opened and read aloud at 1:00 pm on April 17, 2025, in the City of
Waterloo Council Chambers. Bid openings may also be viewed via YouTube live stream.
SPECIFICATIONS:
The City of Waterloo is seeking competitive price quotes on emulsified asphalt to be used in our seal
coat program. This program consists of oiling seal coated roads with emulsified asphalt and spreading
chips. A follow up of fog sealing and occasional reclaiming is also necessary.
The bidder guarantees to provide product complying with the specifications set forth under the
conditions outlined in section 4140 of the Iowa Department of Transportation Standard Specifications
for Highway and Bridge Construction, Series 2012; AASHTO T-96, as related. See cover letter.-KR

B. Measurement
The net quantity in gallons will be determined from the delivery tickets supplied with each individual
truck Toad. Each load shall be delivered with a producer's scale ticket showing gross, tare, and net
weights converted to net gallons. The Contracting Authority reserves the right to re -weigh any or all
trucks at the expense of the contracting authority to verify amounts. Net weights within 0.5% shall
remain unadjusted. If the net weight varies more than 0.5%, the destination weight will be used.

C. Delivery
The quoted price shall include delivery to the Street Department storage facility located at 2300
Commercial Street in Waterloo, Iowa. The City reserves the right to off-load directly from The
Contracting Authority's supplied tanker trailer to be left on site for the duration of the City's seal
coat program. Delivery shall be made by standard semi -tractor tanker load. Deliveries will normally
be requested between 7:OOAM and 3:OOPM, Monday through Friday. Delivery of emulsion upon
receipt of a call for a delivery shall be made no later than 8:OOAM the following business day unless
delivery requested on a Friday, in which case shall be delivered the following Monday no later than
8:OOAM.
D. Calls for Delivery
Calls for delivery shall be made by the City of Waterloo Street Department during normal business
hours, Monday through Friday. Calls will be made to the location supplied by the bidder. Notice of
any changes in the call number or location must be made in writing prior to the effective time of the
change.
E. Payment
Payment will be made within thirty (30) days of the receipt of a proper invoice for the material
delivered. Invoices should be directed to: City of Waterloo Public Works; 625 Glenwood Street;

CANCELLATION:
The successful bidder understands that the Contracting Authority may Cancel this Agreement, with
thirty (30) days notice, if he has knowledge that all conditions as stated in this Bid Proposal have not
been fulfilled.

reflects the total bid as contained herein.
