(CORPORATE GRANTOR)
For the consideration of One Dollar and other valuable consideration,Back Alley Printers,
Inc., an Iowa corporation, does hereby convey to City of Waterloo, Iowa,the following described
real estate in Black Hawk County, Iowa:
Lots 1 and 3,Plat of Survey Doc. #2024-23612 of part of the NW'/4 of the NE'/4
of Section 10, Township 89 North,Range 13 West of the 5th P.M.,Black Hawk
County,Iowa
Subject to all restrictive covenants, ordinances and limited access provisions of
record, if any, and to existing easements, if any.
Subject to the following Right of First Refusal: In the event City of Waterloo
receives an offer to purchase all or any portion of the real estate conveyed in this
deed(hereinafter the "Real Estate") from a third party on or before the date that is
ten(10)years after the date of this deed which City of Waterloo is willing to
accept, City of Waterloo may conditionally accept the offer from the third party
subject to Back Alley Printers,Inc.'s right of first refusal provided for herein. If
City of Waterloo conditionally accepts the offer from the third party, City of
Waterloo shall offer to sell the Real Estate to Back Alley Printers, Inc. for the
same price and on the same terms as those offered by the third party for the Real
Estate. City of Waterloo must provide written notice to Back Alley Printers, Inc.
of City of Waterloo' conditional acceptance of the third party's offer to purchase
the Real Estate. The notice shall be accompanied by a copy of the conditionally
accepted offer to purchase the Real Estate received from the third party. Back
Alley Printers, Inc. shall have the right to elect to purchase the Real Estate for the
same price and on the same terms as those offered for the Real Estate by the third
party. Back Alley Printers, Inc. shall exercise the right to purchase the Real
Estate by delivery of a written offer to purchase the Real Estate to City of
Waterloo for the same price and on the same terms as those offered by the third
party within fourteen(14)calendar days after receipt of written notice from City
of Waterloo of its conditional acceptance of the third party's offer to purchase the
Real Estate. If Back Alley Printers, Inc. fails to submit an offer to purchase the
Real Estate to City of Waterloo within fourteen(14)calendar days after receipt of
written notice from City of Waterloo, its right of first refusal shall lapse and City
of Waterloo shall then have the right to proceed to sell the Real Estate to the third
party that submitted the offer to purchase the Real Estate. In the event the terms
of the offer from the third party are changed prior to the transaction being
consummated, Back Alley Printers, Inc.'s right of first refusal shall be restored
and City of Waterloo shall offer to sell the Real Estate to Back Alley Printers,Inc.
for the same price and on the same terms as those offered by the third party in the
amended offer following the same notice provisions that were triggered by the
initial offer. In the event the contemplated transfer to the third party is never
consummated,the Real Estate shall remain subject to the right of first refusal in
favor of Back Alley Printers, Inc. even if Back Alley Printers, Inc. did not
exercise the right of first refusal in response to receiving notice of the
contemplated transfer. If Back Alley Printers, Inc. exercises the right of first
refusal,Back Alley Printers, Inc. shall close on the sale and purchase the Real
Estate on a date and at a time mutually agreeable to the parties,but no later than
thirty (30)days after Back Alley Printers, Inc. exercises the right of first refusal
by submitting a written offer to City of Waterloo, unless both parties consent in
writing to an extension beyond said 30-day time frame.
There is no known private burial site, well, solid waste disposal site, underground
storage tank, hazardous waste, or private sewage disposal system on the property
as described in Iowa Code Section 558.69, and therefore the transaction is exempt
from the requirement to submit a groundwater hazard statement.
The Corporation hereby covenants with grantees, and successors in interest, that it holds
the real estate by title in fee simple; that it has good and lawful authority to sell and convey the
real estate; that the real estate is free and clear of all liens and encumbrances, except as may be
above stated; and it covenants to Warrant and Defend the real estate against the lawful claims of
all persons, except as may be above stated.
Words and phrases herein, including acknowledgment hereof, shall be construed as in the
singular or plural number, according to the context.
