SPECIAL WARRANTY DEED
For the consideration of$1.00 Dollar(s) and other valuable consideration,the City of Waterloo, Iowa,
does hereby convey to Cedar River Contracting, Inc., the following described real estate in Black Hawk
County,Iowa:
Lots 1,2, and 3 in the Waterloo Air and Rail Park,4th Addition,Waterloo,Black Hawk County,Iowa.
Subject to: (a)easements, conditions, and restrictions of record as set forth in the subdivision Deed of
Dedication; (b) general utility and right-of-way easements serving the property and of record, and (c)
restrictions imposed by local zoning ordinances and other applicable law. Further subject to possibility
of reverter of title pursuant to a Development Agreement executed by and between the parties.
This deed is exempt according to Iowa Code § 428A.1(2) and Iowa Code § 428A.2(6).There is no
known private burial site, well, solid waste disposal site, underground storage tank, hazardous waste,
or private sewage disposal system on the property as described in Iowa Code section 558.69, and
therefore the transaction is exempt from the requirement to submit a groundwater hazard statement.

The grantor hereby covenants with grantees, and successors in interest, to warrant and defend the real
estate against the lawful claims of all persons claiming by, through, or under it, except as may be stated
above. Words and phrases herein, including acknowledgment hereof, shall be construed as in the singular
or plural number,and as masculine or feminine gender, according to the context.
