SPECIAL WARRANTY DEED
For the consideration of $1 .00 Dollar(s) and other valuable consideration, the City of Waterloo,
Iowa, does hereby convey to BKKS Holdings, LLC, the following described real estate in Black Hawk
County, Iowa:
Lot 34, Lot 35, Lot 36, Lot 37, Lot 38, and Lot 39 of the Waterloo Air and Rail Park, 4th
Addition, Waterloo, Black Hawk County, Iowa.
Subject to (a) easements, conditions, and restrictions of record as set forth in the
subdivision Deed of Dedication. (b) general utility and right-of-way easements serving the
property and of record, and (c) restrictions imposed by local zoning ordinances and other
applicable law. Further subject to possibility of reverter of title pursuant to a Development
Agreement executed by and between the parties and dated July 7, 2025.
This is a deed from a political subdivision that is exempt from transfer tax, declaration of value,
and groundwater hazard statement pursuant to Iowa Code § 428A. 1(2) and Iowa Code § 428A.2(6).
The grantor hereby covenants with grantees, and successors in interest, to warrant and defend the
real estate against the lawful claims of all persons claiming by, through, or under it, except as may be stated
above. Words and phrases herein, including acknowledgment hereof, shall be construed as in the singular
or plural number, and as masculine or feminine gender, according to the context.
