This Sales Agreement is between The City of Waterloo, Iowa ("CLIENT") and Revize LLC,

1 Phase 7 -- Content Editing/Administrator Training, one full-day session, onetime fee:
1 Phase 8 - Go Live, onetime fee:
1 Phase 9 — Tech Support, CMS Updates, and Website Hosting, pre -paid annual fee:

One year agreement with option of continuing annual services at listed rate of $5,900/year going forward.
Complimentary redesign provided at beginning of 5tr, year if annual services are maintained through 5 years.
Revize requires a check of 518,400 to begin this project, with the remaining $18,400 for the first year cost due
upon site launch. Revize Annual Services start upon kickoff meeting.
Terms:
1. Payments:
• Invoices are Due Upon Receipt. Work begins upon receiving initial payment.
2, This Sales Agreement is the only legal document governing this sale.
3. If additional "as is" content tnigration is required it will be done for $3 per web page or document.
4. Both parties must agree in writing to any charges or additions to this Sales Agreement.
5. This Sales Agreement is subject to the laws of the States of Michigan and Iowa.
6. Pricing expires in 30 days.
