ASSIGNMENT OF REBATES
The undersigned ("Assignor") is party to a development agreement(the"Agreement")with the City of
Waterloo, Iowa, concerning the following real property(the "Property"):
Parcel: Address:
901332351004 4050 Leversee Rd, Waterloo, Iowa
Also legally described as Waterloo Air&Rail Park 2nd Addition Lot 4,City of Waterloo, Black Hawk County,
Iowa.
Subject to the terms of the Agreement, Assignor is entitled to property tax rebates in respect of the Property in
an amount determined as set forth in the Agreement.
Assignor does hereby assign to the assignee designated below ("Assignee") all of Assignor's right, title and
interest in and to any and all rebates payable in respect of the Property pursuant to the Agreement, effective as
to any rebate payable for property taxes that become due and owing after the following date:
July 1, 2025
Assignee acknowledges that no rebate is payable at any given time unless all conditions required by the
Agreement for entitlement to such rebate have been satisfied.
The Assignor reserves the right to revoke this Assignment at any time, for any reason,upon written notice to the
Assignee, and Assignee agrees to timely process forms and agreements to complete revocation. In the event
Assignor revokes this Assignment, then Assignor agrees that it shall provide prompt written notice of the
revocation to the City of Waterloo.
In order to ensure the validity and enforceability of this Assignment, and any future assignments, Assignor and
Assignee agree that this Assignment, as well as any future assignments, must be approved by City Council.
