(ATS), 501 Sycamore Street, Suite 222, Waterloo, Iowa, dated December 21, 2020, for a traffic engineering study to convert the one- way couplets to two-way traffic on 4th Street and 5th Street from Six Corners to Randolph Street and on 5th Street and 6th Street from Randolph Street to near Barclay Street through downtown Waterloo; and WHEREAS, the Client and ATS entered into Supplemental Agreement No. 1 for assistance in the preparation of the United States Department of Transportation's (USDOT) Reconnecting Communities Pilot (RCP) Program Grant Application, dated July 30, 2024; and WHEREAS, the Client and ATS entered into Supplemental Agreement No. 2 for assistance in the preparation of the United States Department of Transportation's (USDOT) F25 Safe Streets and Roads for All (SS4A) Grant Application, dated July 17, 2025; and WHEREAS, the Client and ATS now desire to enter into Supplemental Agreement No. 3 for assistance in preparation of the United States Department of Transportation's (USDOT) F26 Safe Streets and Roads for All (SS4A) Grant Application. NOW THEREFORE, it is mutually agreed to amend the original Professional Service Agreement as follows: I. PROJECT DESCRIPTION The professional services include development of an SS4A Grant Application consistent with the Notice of Funding Opportunity (NOFO), Assistance Listing # 20.939. The project elements are described in detail within the Downtown Comprehensive Safety Action Plan (CSAP) Amended June 2025. The priority and initial step of the CSAP is the implementation of Phase I of the 5th and eh Streets Conversion Project (Project). Phase 1 will convert the 5th and 6th Streets Corridor couplet, a pair of parallel one-way streets that carry traffic in opposing directions, into two-way streets and provide additional safety improvements in Downtown Waterloo from EB Washington Street to just northeast of Barclay Street, as well as intersection safety improvements near the corridor at 4th and South Street. The implementation of this improvement project will provide the framework for other recommendations identified within the CSAP. As discussed in the CSAP, the other recommendations build on the implementation of the 5th and 6th Streets Conversion Project. II. SCOPE OF SERVICES ATS will update the 2026 application narrative, carry out supporting analytics, have the application graphics and map(s) (as needed), update required forms, coordinate with the City on an updated letter of support template to send to elected officials, other sponsors and community supporters of the Project, coordinate with the City on a local match funding commitment letter, and provide general assistance with the submission process. ATS will coordinate the grant application's development with the City team to verify required materials are obtained and that aspects of project delivery are efficiently and effectively communicated. Weekly coordination meetings will be supplemented by ad hoc communication between ATS and the Docusign Envelope ID: F4998526-DC7B-8C43-82FD-190AF255A93B AECOM Page 2 City. The 2025 SS4A application will repurpose information to the extent applicable to meet the 2026 SS4A Notice of Funding Opportunity (NOFO) requirements, including addressing current federal administration priorities and funding selection criteria. The application will be developed as per the NOFO and will include required and optional appendices (e.g., standardized forms, letters of support, financial commitment letter) to support the application. In consultation with the City, ATS will also complete the required Key Information Table; Supplemental Budget; Federal Standard Forms including the SF-424, SF-424C (construction budget), SF- 424D (Assurances for Construction Programs), and SF-LLL (Disclosure of Lobbying Activities); and the Self -Certification Eligibility Worksheet. The City will be responsible for circulating and collecting letters of support for the application, a signed financial commitment letter, and submitting the application via Valid Eval by May 26, 2026 (5:00 PM EDT). The ATS team will deliver a draft version of the application narrative in Word format to the City. Following the receipt of comments from the City, ATS will make necessary revisions, with a final version provided to the client with supporting appendices before submission for final review. Grant support staff will update graphics and, GIS mapping, and provide formatting services for the narrative document during the draft and final versions for client review. Project deliverables will undergo a review by the discipline manager and technical editor. A QA/QC review helps assure the deliverable meets approach and client requirements. Project tracking and cost controls will be undertaken for this project as well. COMPENSATION Compensation for the above services will be on an hourly basis in accordance with Part VI of the original agreement and shall be integrated with the fees in the original agreement and Supplemental Agreement Nos. 1 and 2. The estimated fee is Twenty -One Thousand One Hundred Dollars ($21,100.00) and will not be exceeded without authorization from the Client. In all other respects, the obligations of the Client and the Consultant shall remain as specified in the Professional Services Agreement dated December 21, 2020.
