This Vehicle Purchase Agreement ("Agreement") is made and entered into on this 13th day of 2026, by

WHEREAS the Seller agrees to sell and the Buyer agrees to purchase the below -described vehicle
under the terms and conditions set forth herein.

• Condition: Operational/ good condition.

• Total Purchase Price: $35,000
• Payment Method: Check
• Payment is due upon the receipt of the fire truck
3. VEHICLE TRANSFER & TITLE DETAILS
•• Title Transfer: Seller agrees to transfer the title to the Buyer upon receipt of its new fire truck
Odometer Disclosure Statement: The Seller shall provide an odometer reading statement as required by law at the time of sale.
• Bill of Sale: Both parties agree to execute a Bill of Sale upon completion of payment.
4. LIABILITY, INDEMNIFICATION, & WARRANTIES
• As -Is Clause: The Buyer acknowledges that the vehicle is sold "as -is," without express or
implied warranties unless otherwise specified in writing. If, prior to completion of the sale and
possession by the City of Waterloo, the vehicle suffers any damage covered by insurance, Stanwood
shall make a claim to repair the vehicle to its prior condition under Stanwood's insurance
policy. In the event the vehicle sustains damage not covered by insurance and/or Stanwood chooses to
not repair the damage, Waterloo reserves the right to negotiate the price if necessary to ensure a fair market value purchase or
void the agreement entirely if the city determines the vehicle is no longer viable.
• Liability Release: Upon transfer of title, the seller is released from any liability related to the vehicle, including but not
limited to accidents, damage, or future repairs.
• Insurance Responsibility: The Buyer shall assume all insurance responsibilities for the vehicle from the Date of Sale/
Transfer.

5. ADDITIONAL TERMS & CONDITIONS
• Delivery Terms: Buyer will pick up the vehicle
• Refund Policy: This sale is final, and no refunds shall be issued unless otherwise agreed upon in writing.
6. SIGNATURES & APPROVALS
By signing below, the authorized representatives of the City of Waterloo, Iowa and The City of Stanwood, Iowa agree to the
terms and conditions of this Agreement.
