This Agreement is entered into by and between the Iowa Department of Transportation, hereinafter
designated the "STATE", and the city of Waterloo, Iowa, a Local Public Agency, hereinafter designated
the "LPA"; and in consideration of these premises and the mutual covenants hereinafter set forth, it is
hereby agreed as follows:
WITNESSETH, that
1. In accordance with the provisions of Iowa Code Sections 313.2 and / or 306.42, the STATE,
contingent upon Iowa Transportation Commission approval, hereby agrees to transfer jurisdiction of
the following public road segment(s), including all structures and right-of-way, to the LPA:
That portion of Iowa 934 within the corporation limits of the city of Waterloo, a length of
approximately 2.83 miles, as shown on Exhibit A attached.
a. The LPA agrees to accept the road segment(s) described in this Agreement into its road system
in accordance with the provisions of Section 306.42, Code of Iowa, and this Agreement.
b. This transfer includes the following bridge(s): FHWA No.(s) 605910 (already owned by LPA),
14880, and 14870. When this transfer becomes effective, the LPA shall be responsible for
inspecting the bridge(s) in accordance with the National Bridge Inspection Standards (NBIS) and
also for the continued maintenance, rehabilitation and eventual replacement or removal of the
bridges.
c. This Agreement nullifies previously executed Agreement 90 -TJ -018 for the transfer of U.S. 218
(University Avenue) from the west corporation limits east to Greenhill Road from the STATE to
the LPA; Agreement 92 -TJ -001 for the transfer of U.S. 218 (University Avenue) from Greenhill
Road east to U.S. 63 from the STATE to the LPA; and Agreement 98 -TJ -003 for the transfer of
University Avenue from the west corporation limits to U.S. 63 from the LPA to the STATE.
d. The LPA and the STATE have examined the physical condition of the public road segment(s)
described in this Agreement and have agreed that:
The road segment shall be transferred in its present condition.
H. Payment to the LPA, in the amount of $28,000,000, shall be made from the STATE's Primary
Road Fund. The STATE shall reimburse the LPA in three installments. The first installment of
$18,000,000 will be submitted by the STATE to the LPA in FY 2017, but no later than thirty
(30) days following the execution of this Agreement by all parties hereto, including
Commission Order action. The second installment of $5,000,000 will be paid by the STATE,
in FY 2018 no later than September 30. The final installment of $5,000,000 will be paid by the
STATE in FY 2019 no later than September 30.
e. The transfer of jurisdiction of the public road segment(s) described in this Agreement shall take
place following the execution of this agreement by both the LPA and the STATE as follows:

date shown opposite its signature hereafter.

Tile Transfer of Jurisdiction of Iowa 934 in Waterloo
DISCUSSION/BACKGROUND:
District 2 has negotiated the transfer of jurisdiction of a portion of Iowa 934 to the city of Waterloo.
The transfer segment lies within the corporation limits of Waterloo with a total length of 2.83 miles.
The road segment will be transferred in its present condition. The state shall transfer funds to the city
in the amount of $28 million, which represents the estimated costs to perform improvements on the
proposed roadway segment.
The proposed payment to the city shall be made in three installments. The first installment of $18
million will be sent to the city in FY 2017, but no later than 30 days following the execution of the
Agreement by all parties hereto, including approval of this commission order. The second installment
of $5 million will be sent to the city in FY 2018, no later than September 30. The final installment of
$5 million will be sent to the city in FY 2019, no later than September 30.
The proposed transfer to the city will take place upon the state's FY 2017 payment to the city and
upon written notification by the state to the city of the time and date of official transfer.
The state will prepare and forward a quitclaim deed to the city for the proposed Iowa 934 transfer
segment.
PROPOSAL/ACTION RECOMMENDATION:
It is recommended that the Commission approve the transfer of jurisdiction of the portion of Iowa 934
as described above to the city of Waterloo.

In accord with the terms of Transfer of Jurisdiction Agreement No. 2016 -TJ -004, I hereby advise that
the transfer of the portion of Iowa 934 within the corporation limits of the city of Waterloo, a length of
approximately 2.83 miles, from State to City shall be effective at 12:01 a.m., on September 1, 2016.
Enclosed are the city's copy of the fully executed agreement and a copy of the Iowa Department of
Transportation Commission Order H-2017-14 for this transfer of jurisdiction.
