This Janitorial Services Agreement ("Agreement") is made effective as of May 13, 2026, by and between
the Client and Contractor listed above. Client and Contractor may be referred to individually as a "Party"
and collectively as the "Parties."
1. Scope of Services
Contractor agrees to provide professional janitorial cleaning services for designated City of Waterloo
facilities, including but not limited to City Hall, Carnegie Annex, the Wateiloo Police Training Center, the
Parking Ramp Enclosure, and Memorial Hall.
Services shall be performed according to the agreed cleaning schedule for each location and are intended
to maintain clean, safe, sanitary, and presentable facilities for City staff, visitors, and the public.
Routine janitorial services may include, but are not limited to:
• Sweeping, mopping, and vacuuming floors
• Emptying trash receptacles and replacing liners as needed
• Cleaning and disinfecting restrooms
• Cleaning sinks, counters, fixtures, and common surfaces
• Dusting accessible surfaces, ledges, handrails, and common areas
• Spot cleaning doors, glass, entry areas, and touchpoints
• Cleaning offices, hallways, entryways, restrooms, and shared spaces
• Maintaining a neat, orderly, and professional appearance throughout serviced areas
Contractor shall perform all work in a professional and dependable manner using consistent cleaning
practices and appropriate supervision.

Unless otherwise agreed in writing, services shall be performed after closing or during times approved by
Client.
3. Service Start Date
Services under this Agreement shall begin on July 1, 2026, unless otherwise agreed to in writing by both
Parties.
4. Monthly Service Rate
The total monthly service rate for janitorial cleaning services at all listed City of Waterloo jobsites shall
be:
$8,654.00 per month
This monthly rate applies to the routine janitorial services described in this Agreement. Any additional
work, special projects, added locations, schedule changes, or services outside the stated scope may
require a written change order and may result in additional charges.
5. Invoicing and Payment Terms
Contractor shall issue invoices monthly on or about the first day of each month.
Payment is due upon receipt unless otherwise agreed in writing. Client agrees to pay Contractor for all
services performed under this Agreement.
If services are added, removed, delayed, suspended, or changed by Client, the Parties shall agree in
writing to any corresponding price adjustment.
6. Term of Agreement
This Agreement shall begin on the effective date stated above and services shall begin on July 1, 2026. The
initial service term shall continue for twelve months from the sei vice start date unless terminated earlier
in accordance with this Agreement.

After the initial twelve-month terra, this Agreement shall automatically continue on a month -to -month
basis unless renewed, modified, or terminated by either Party in accordance with the termination
provisions below.
7. Termination
This Agreement shall remain in effect for the full initial twelve-month service term beginning July 1,
2026, unless otherwise terminated for cause or by mutual written agreement of both Parties.
After the initial twelve-month term, this Agreement shall automatically continue on a month -to -month
basis. Once the Agreement has converted to month -to -month status, either Party may terminate the
Agreement by providing at least thirty (30) days written notice to the other Party.
Client shall be responsible for payment for all services performed through the effective date of
termination.
Contractor may suspend or discontinue services if payment is not made as agreed, provided Contractor
gives Client written notice and a reasonable opportunity to cure the payment issue.
8. Supplies, Equipment, and Materials
Unless otherwise agreed in writing, Contractor shall provide standard cleaning equipment and cleaning
chemicals necessary to perform routine janitorial services.
Client shall be responsible for providing consumable facility supplies, including but not limited to toilet
paper, paper towels, hand soap, trash liners, and other restroom or building supplies, unless such
supplies are specifically included in a separate written agreement.
Client shall provide reasonable access to supply storage areas, water sources, electrical outlets, trash
disposal locations, and other areas necessary for Contractor to perform the services.
9. Facility Access and Security
Client shall provide Contractor with reasonable access to the facilities, including keys, access cards, alarm
codes, parking instructions, and any site -specific security procedures necessary to perform the work.
Contractor agrees to use reasonable care in securing the premises after services are completed and to
follow Client written access and security procedures when provided.
Client shall notify Contractor in advance of any facility closures, restricted access, special events,
construction, maintenance work, or other conditions that may affect Contractor ability to perform
services.
10. Exclusions from Routine Services
The routine monthly service rate does not include the following unless specifically agreed to in writing:
• Carpet extraction or deep carpet cleaning
• Exterior window cleaning
• High dusting requiring ladders, lifts, or special equipment
• Biohazard cleanup
• Pest control
• Mold remediation
• Snow removal or exterior grounds maintenance
• Maintenance repairs
• Construction cleanup

• Cleaning caused by flooding, vandalism, excessive waste, or unusual events
• Any work outside the normal agreed cleaning schedule or scope
Additional services may be quoted separately and performed only upon written approval by Client.
11. Insurance
Contractor agrees to maintain general liability insurance and workers compensation insurance as
required by applicable law.
Upon request, Contractor shall provide Client with a certificate of insurance showing active coverage.
12. Liability and Damage
Contractor shall use reasonable care while performing services. Contractor shall not be responsible for
damage resulting from pre-existing conditions, defective fixtures, unsecured items, normal wear and
tear, maintenance neglect, or conditions outside Contractor control.
Client agrees to notify Contractor in writing of any claimed damage or service concern within a
reasonable time after discovery. Contractor shall be given an opportunity to inspect and address any
reported issue.
Contractor shall not be liable for indirect, incidental, consequential, or special damages, including loss of
use, loss of business, or other damages not directly caused by Contractor negligence or willful
misconduct.
13. Independent Contractor Relationship
Contractor is an independent contractor and is not an employee, agent, partner, or joint venturer of
Client.
Contractor shall be responsible for the supervision, direction, and control of its employees,
subcontractors, and representatives while performing services under this Agreement.
14. Changes to Services
Any changes to the scope of work, cleaning schedule, service locations, frequency, staffing requirements,
supplies, or pricing must be agreed to in writing by both Parties.
If Client requests additional services or if facility conditions require work beyond the agreed scope,
Contractor may provide a separate written quote or change order before performing the additional work.
15. Force Majeure
Neither Party shall be liable for delays or failure to perform caused by circumstances beyond its
reasonable control, including but not limited to severe weather, natural disasters, fires, floods,
emergencies, labor shortages, utility failures, government restrictions, building closures, or other events
outside the affected Party control.
16. Entire Agreement
This Agreement represents the entire agreement between the Parties and supersedes all prior written or
oral agreements, proposals, or understandings related to the services described herein.
Any amendments, modifications, or changes to this Agreement must be in writing and signed by both
Parties.

17. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Iowa.
18. Signatures
By signing below, the Parties acknowledge that they have read, understood, and agree to the terms of this
Agreement.
