SECOND AMENDMENT TO TEMPORARY ACCESS EASEMENT AGREEMENT
This Second Amendment to Temporary Easement Agreement ("Amendment") is
entered into as of , 2026, by and between the City of
Waterloo, Iowa ("Grantor") and McDonald's USA, LLC ("Grantee").
RECITALS
A. Grantee and Grantor are parties to that certain Temporary Access
Easement Agreement dated August 4, 2025, as amended by that certain Amendment to
Temporary Easement Agreement dated April 6, 2026 (collectively the "Agreement")
concerning a temporary easement granted by Grantor to Grantee as set forth and
described therein.
B. The parties desire to amend the Agreement to modify the terms as set forth
in this Amendment.
NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the
parties agree as follows:
1. Section 2 of the Agreement is hereby stricken in its entirety and replaced
with the following amended Section 2:
Unless extended by the written mutual consent of Grantor and
Grantee, the Temporary Easement shall continue in force and
effect until December 31, 2026.
IN WITNESS WHEREOF, the parties have executed this Amendment to the
Temporary Access Easement Agreement by their duly authorized representatives as of
the date first set forth above.
