The Council of the City of Waterloo, Iowa, met in Special Session at City Hall Council
Chambers, Waterloo, Iowa, at 8:30 a.m., on Thursday, January 16, 2003. Mayor John R.
Rooff in the Chair. Roll Call. Greenwood, Clark, Jordan, Hurley, Getty. Absent:
Welper.
117938 - Jordan/Clark
that the Agenda, as proposed, for the Special Session on Thursday, January 16,
2003, at 8:30 a.m., be accepted and approved. Ayes: Five. Absent: Welper.
Motion carried.
117939 - Hurley/Greenwood
that copies of the Call for the Special Session on Thursday, January 16, 2003,
be received and placed on file. Ayes: Five. Absent: Welper. Motion
carried.
117940 - Getty/Hurley
that the appointment of John Kincaid as Fourth Ward Councilperson be received,
placed on file and approved. Ayes: Five. Absent: Welper. Motion carried.
117941 - Mayor Rooff administered the Oath of Office to Councilperson John Kincaid.
117942 - Hurley/Jordan
that "Resolution awarding contract to Prairie Construction of Waterloo, Iowa in
the amount of $1,132,000.00 in conjunction with Five Sullivan Brothers
Convention Center 2002 Renovation", be adopted.
Prior to a vote on the above motion, the following comments were heard.
Councilperson Greenwood stated that he held up the award of this contract as he
was concerned that a local provider, Don's TV Maximum Sight & Sound, was left
out of the bidding process. Councilperson Greenwood stated he met with Harry
Doyle and Don's TV and successfully solved the problem as it was determined
Don's TV was not a qualified provider of the product for this project.
Mayor Rooff asked Rudy Jones, Acting Community Development Director, if he was
comfortable that everything was done regarding minority participation. Mr.
Jones responded that he is somewhat satisfied, but he is dissatisfied with the
amount of minority participation. Mr. Jones stated that due to the time and
gaps in the process he is not sure if there was enough time for the minority
contractors.
Craig Schwerdtfeger of Struxture Architects, stated that to the best of his
knowledge the proper procedures were followed regarding minority participation
on this project. Mr. Schwerdtfeger stated he worked with Rudy Jones to get all
the necessary paperwork.
Mayor Rooff asked Rudy Jones to work with the architect to make sure all
minority contractors had an opportunity to bid on the project and that we made
a good faith effort.
Councilperson Hurley asked Mr. Jones where his lack of satisfaction was, was it
because the minority contractors did not participate or was the process broken.
Mr. Jones responded that the process was not followed to give everyone time to
notify the contractors and subcontractors, and maybe the Holidays were the
reason.
Mr. Cutwright stated that Prairie Construction's bid shows that contact was
made with the subcontractors as to whether they were planning to bid. The bid
document was sent out in mid-December and the plans were available in the Plan
Room. Mr. Cutwright stated that Prairie Construction made contact with the
subcontractors on January 1 and the contract was not let for bid until January
13, 2003. Mr. Cutwright stated that the contractor did fill out the MBE/WBE
form as to the time when he made contact with the MBE/WBE and which minority
contractor was awarded part of the contract.
Mr. Cutwright and Mr. Jones reviewed the bids submitted by MBE/WBE contractors.

Councilperson Hurley stated he was satisfied with moving forward on the
project, but feels we need to do a thorough analysis of the process. If we
encouraged MBE participation and they did not respond then we are okay, but if
it is because they did not have time or encouragement then that is something
else. Councilperson Hurley stated the council will be facing this issue time
and time again and he doesn't want to kill a contract because we did not follow
the proper procedures.
Mayor Rooff stated that the new position of contract compliance has been
expanded to develop minority contractors and bring it in at the federal level.
Willie Greer reported he did bid as a minority on this project, but he did not
submit his bid until Monday.
Mr. Cutwright stated that the sheet turned in does not indicate that Greer
Construction is listed as a minority contractor to bid on the contract. Mr.
Schwerdtfeger stated he will look into this as it is possible if the paperwork
was not turned in he might not have been listed on the minority contractor
documents.
Mr. Greer stated that he picked up the papers on Friday morning and submitted
them to every contractor who took out plans.
Mr. Cutwright noted that we are looking at the highest bidder, and Greer
Construction is not listed on Prairie Construction's bid. Mr. Cutwright stated
he is satisfied we met our goals for minority participation and should move
forward on this project.
Mayor Rooff asked if there were minority contractors who could have bid on the
project, and Mr. Cutwright responded that two minority electrical contractors
could have bid on the project, but they did not choose to bid on this project.
Mr. Cutwright stated he would like the council to vote on all alternates and
move ahead with the complete project.
Councilperson Hurley stated he was bothered

Mayor Rooff stated that no minority electricians bid the project, Culpepper
chose not to bid, and Daniel Home Improvement bid on the interior/exterior
demolition and cement work, but their bid was not used.
Mike Christiansen from Prairie Construction stated that Daniel Home Improvement
was not used because they were not the lowest responsive bidder, and he wanted
to have a competitive bid. Mr. Christiansen stated he would be happy to work
with the city and architect to show what bids were used.
Councilperson Hurley called for the question. Ayes: Three. Nays: Kincaid,
Greenwood, Jordan. Absent: Welper. Motion failed.

that the original motion be amended that the bid documents be reviewed
Jones, Lou Cutwright, the Architect and Contractor to make sure all
contractors had an opportunity to bid on the project. Ayes: Six.
Welper Motion carried.

117945 - Councilperson Clark asked if the architect foresees problem completing the
project on time. Mr. Schwerdtfeger responded that the bid needs to be approved
today in order to meet the timeline of this contract. Mr. Schwerdtfeger noted
that some of the tile has a 12 week delay, and they are in discussions to use
alternative material.
