RESOLUTION NO. 2026-464
RESOLUTION APPROVING AMENDED ARTICLES OF
AGREEMENT WITH THE MIDDLE CEDAR WATERSHED
AUTHORITY AND AUTHORIZING THE MAYOR AND CITY
CLERK TO EXECUTE SAID DOCUMENT.
WHEREAS, the City of Waterloo, Iowa, is a member of the Middle Cedar Watershed
Management Authority, as organized under Iowa Code Chapter 28E ("Authority"); and
WHEREAS, the Middle Cedar Watershed Management Authority, was created as a
mechanism for cities, counties, Soil and Water Conservation Districts (SWCDs) and
stakeholders to cooperatively engage in watershed planning and management; and
WHEREAS, the Authority desires to amend the Middle Cedar Watershed Management
Authority Articles of Agreement dated June 16, 2016, to outline each eligible member entity,
regardless of Authority member status; and
WHEREAS, the Authority desires to amend the Middle Cedar Watershed Management
Authority Articles of Agreement dated June 16, 2016, to permit eligible entities to join the
Watershed Management Authority by adopting a resolution and signing the required signature
page; and
WHEREAS, the Authority desires to amend the Middle Cedar Watershed Management
Authority Articles of Agreement dated June 16, 2016, so existing members are not required to
approve a new resolution each time a new member joins; and
WHEREAS, the Authority desires to amend the Middle Cedar Watershed Management
Authority Articles of Agreement dated June 16, 2016, to add the `Execution of Documents'
clause to Section 11, allowing execution of this document outside the presence of other Members
and in separate counterparts; and
WHEREAS, the Authority desires to amend the Middle Cedar Watershed Management
Authority Articles of Agreement dated June 16, 2016, to add Section 15 `Authorization and
Signature Pages'; and
WHEREAS, the 2026 Middle Cedar Watershed Management Authority Articles of Agreement
has been prepared which document includes the proposed amendments; and
WHEREAS, the approval by Members of the Authority has taken place to amend the
agreement dated June 16, 2016, and adopt the 2026 Middle Cedar Watershed Management
Authority Articles of Agreement dated August 17, 2026; and
WHEREAS, amendments to the 28E Agreement for the Authority require approval from
all of the governing boards of the Members of the Authority.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Waterloo,
Iowa, that:

1. Pursuant to the provisions of Chapter 28E, Code of Iowa, the City of Waterloo, Iowa,
hereby approves that the Middle Cedar Watershed Management Authority Articles of Agreement
dated June 16, 2016, be omitted in its entirety to be amended in its entirety with the 2026 Middle
Cedar Watershed Management Authority Articles of Agreement dated August 17, 2026.
2. The Mayor and City Clerk are authorized and directed to execute said document on
behalf of the City of Waterloo, Iowa.
