This proposal includes engineering/drawings, material, installation, software programming, project management, commissioning and a one year warranty. The associated benefits include: 1. The pricing above does not include repair or replacement of any system or components other than that specifically listed. 3. If the donated chiller for the kitchen air handling unit is non or partially functional, we will make notice to the owner. 4. During the air and water balancing, if any existing system component is non or partially functional, we will make notice to the owner. 5. The City of Waterloo will provide Ethernet drops and IP addresses as required. Payment Terms: 1. Upon acceptance of this proposal, an invoice in the amount of 35 percent of the contract price will be issued for job mobilization. 2. For each category listed in this proposal; when engineering is complete, the material is snipped and the installation has begun you will receive an invoice for 45 percent of the contract price. 3. For each category listed in this proposal; when installation is substantially complete you will receive an invoice for 15 percent of the contract price. 4. For each category listed in this proposal; when the project is finished and functioning you will receive a final invoice for 5 percent of the contract price. (IMPORTANT: This proposal incorporates by reference the terms and conditions on the third page of this proposal hereof.) SCOPE OF WORK. This proposal is based upon the use of straight time labor only. Plastering,patching and painting are excluded. "In-line"duct and piping devices, including, but not limited to, valves, dampers, humidifiers,wells, taps, flow meters, orifices, etc., if required hereunder to be furnished by Johnson Controls, Inc. (hereinafter referred to as JCI), shall be distributed and installed by others under JCI's supervision but at no additional cost to JCI. Purchaser agrees to provide JCI with required field utilities(electricity,toilets,drinking water, project hoist,elevator service,etc.)without charge. JCI agrees to keep the job site clean of debris arising out of its own operations. Purchaser shall not back charge JCI for any costs or expenses without JCI's written consent. Unless specifically noted in the statement of the scope of work or services undertaken by JCI under this agreement, JCI's obligations under this agreement expressly exclude any work or service of any nature associated or connected with the identification, abatement, clean up, control, removal, or disposal of environment Hazards or dangerous substances,to include but not be limited to asbestos or PCSs,discovered in or on the premises. Any language or provision of the agreement elsewhere contained which may authorize or empower the Purchaser to change,modify,or alter the scope of work or services to be performed by JCI shall not operate to compel JCI to perform any work relating to Hazards without JCI's express written consent. 2. INVOICING & PAYMENTS. JCI may invoice Purchaser monthly for all materials delivered to the job site or to an off-site storage facility and for all work performed on-site and off-site. Ten percent(10%)of the contract price is for engineering,drafting and other mobilization costs incurred prior to installation, This 10%shall be included in JCI's initial invoice. Purchaser agrees to pay JCI the amount invoiced upon receipt of the invoice. Waivers of lien will be furnished upon request,as the work progresses,to the extent payments are received. If JCI's invoice is not paid within 30 days of its issuance,it is delinquent. 3. MATERIALS. If the materials or equipment included in this proposal become temporarily or permanently unavailable for reasons beyond the control and without the fault of JCI,then in he case of such temporary unavailability,the time for performance of the work shall be extended to the extent thereof,and in the case of permanent unavailability,JCI shall(a)be excused from furnishing said materials or equipment,and(b)be reimbursed for the difference between the cost of the materials or equipment permanently unavailable and the cost of a reasonably available substitute therefor. 4. WARRANTY. JCI warrants that the equipment manufactured by it shall be free from defects in material and workmanship arising from normal usage for a period of one(1)year from delivery of said equipment, or if installed by JCI, for a period of one(1)year from installation. JCI warrants that for equipment furnished and/or installed but not manufactured by JCI,JCI will extend the same warranty terms and conditions which JCI receives from the manufacturer of said equipment. For equipment installed by JCI, if Purchaser provides written notice to JCI of any such defect within thirty (30) days after the appearance or discovery of such defect,JCI shall,at its option,repair or replace the defective equipment. For equipment not installed by JCI,if Purchaser returns the defective equipment to JCI within thirty(30)days after appearance or discovery of such defect,JCI shall,at its option,repair or replace the defective equipment and return said equipment to Purchaser. All transportation charges incurred in connection with the warranty for equipment not installed by JCI shall be borne by Purchaser. These warranties do not extend to any equipment which has been repaired by others, abused, altered or misused, or which has not been properly and reasonably maintained. THESE WARRANTIES ARE IN LIEU OF ALL OTHER WARRANTIES,EXPRESS OR IMPLIED,INCLUDING,BUT NOT LIMITED TO, THOSE OF MERCHANTABILITY AND FITNESS FOR A SPECIFIC PURPOSE. 5. LIABILITY. JCI shall not be liable for any special,indirect or consequential damages arising in any manner from the equipment or material furnished or the work performed pursuant to this agreement. 6. TAXES. The price of this proposal does not include duties,sales,use,excise,or other similar taxes,unless required by federal,state or local law. Purchaser shall pay, in addition to the stated price, all taxes not legally required to be paid by JCI or, alternatively, shall provide JCI with acceptable tax exemption certificates. JCI shall provide Purchaser with any tax payment certificate upon request and after completion and acceptance of the work. 7. DELAYS. JCI shall not be liable for any delay in the performance of the work resulting from or attributed to acts or circumstances beyond JCI's control, including,but not limited to,acts of God,fire,riots,labor disputes,conditions of the premises,acts or omissions of the Purchaser,Owner or other Contractors or delays caused by suppliers or subcontractors of JCI,etc. 8. COMPLIANCE WITH LAWS. JCI shall comply with all applicable federal, state and local laws and regulations and shall obtain all temporary licenses and permits required for the prosecution of the work. Licenses and permits of a permanent nature shall be procured and paid for by the Purchaser. 9. DISPUTES. All disputes involving more than$15,000 shall be resolved by arbitration in accordance with the rules of the American Arbitration Association. The prevailing party shall recover all legal costs and attomey's fees incurred as a result. Nothing here shall limit any rights under construction lien laws. 10. INSURANCE. Insurance coverage in excess of JCI's standard limits will be furnished when requested and required. No credit will be given or premium paid by JCI for insurance afforded by others. 11, INDEMNITY. The Parties hereto agree to indemnify each other from any and all liabilities,claims,expenses, losses or damages, including attorneys'fees, which may arise in connection with the execution of the work herein specified and which are caused,in whole or in part,by the negligent act or omission of the Indemnifying Party. 12. OCCUPATIONAL SAFETY AND HEALTH. The Parties hereto agree to notify each other immediately upon becoming aware of an inspection under,or any alleged violation of,the Occupational Safety and Health Act relating in any way to the project or project site. 13. ENTIRE AGREEMENT. This proposal,upon acceptance,shall constitute the entire agreement between the parties and supersedes any prior representations or understandings. 14. CHANGES. Gonv�ntlo�Carshr V`✓NTR 7 L t Five Sullivan Brothers Convention Center Phase 2 Facility Improvements I ` , June 20, 2005 Facility Improvement Measures Overview Johnson Controls, Inc., in association with Justin Doyle of Gilmore & Doyle, has developed this plan to address facility improvement measures at the Five Sullivan Brothers Convention Center. In preparing this strategy, our facility development staff made multiple site visits interviewing personnel as well as inspecting and collecting information on the controls and mechanical equipment throughout the facility. The convention center has seen a decline in preventative maintenance due to fiscal constraints. This has caused the utility cost to increase faster then anticipated. The following performance improvement measures are recommended to begin restoring the 30-year old Five Sullivan Brothers Convention Center back to original design operation with several energy savings measures incorporated in the project. The recommendations listed below will build upon the foundation for standardization throughout the City of Waterloo and allow for a consistent team approach from sales, service, project management, engineering, software development, commissioning, training and installation standards utilizing Johnson Controls knowledge and resources. This project will further enhance progress towards the City of Waterloo's vision for centralized facility management, energy reporting, monitoring,trending and control to utilize information for more effective and efficient management of buildings and resources to lower overall operating costs. Air Handler 2 - Hot Deck Multi Zone Unit with a 40 hp Supply and 20 hp Return Fan. Air Handler 3 - Hot Deck Multi Zone Unit with a 40 hp Supply and 20 hp Return Fan. Air Handler 4 - Constant Volume Cooling only Unit with a 40 hp Supply and 20 hp Return Fan. Air Handler 5 - Constant Volume Cooling only Unit with a 75 hp Supply and 25 hp Return Fan. In recent years the system has been overridden and many of the pneumatic dampers and valves have been bypassed. Penthouse AHU Equipment Continued: Johnson Controls, Inc. Recommendations Re-Control of the primary building system air handlers include: • Replacement of the deteriorated hot water valves with new equipment on AHU 1, 2 & 3. • Replacement of the aging supply and return motors with high efficiency equipment. • Installation of Variable Speed Drives on the new supply and return fan motors. • Replacement of all pneumatic transducers. The existing devices are failing due to oil and water contamination. • Replacement of all failed dampers and pneumatic actuators. • Correct all operational software to ensure proper sequence of control. Repairs to the primary building system air handlers include: • Perform Vibration Analysis on all supply and return fans. • Replacement of all required bearings, sheaves, pulleys and v-belts. • Perform Laser Alignment to all repaired equipment. • Air balance reporting of all supply and return fans. • Water balance reporting of all heating and coiling coils. Main Hall Relief Fan Currently the Main Hall exhaust fan is not being used which is causing pressure relief problems in the facility. This condition prevents the economizer operation from functioning correctly. Johnson Controls,Inc. Recommendations • Replacement of the aging motor with high efficiency equipment. • Installation of a Variable Speed Drive on the new fan motor. • Correct all operational software to ensure proper sequence of control. • Perform Vibration Analysis on the fan. • Air balance reporting of the fan. Pneumatic Controls and Digital Control Interfacing Currently the pneumatic air system is contaminated with oil and water. This condition deteriorates the pneumatic devices causing premature failure. Recommendations • Installation of a new air compressor, dryer and pressure reducing station in the penthouse. • Repair or replace pneumatic air lines in the penthouse as needed. • Clean and purge pneumatic air lines in the penthouse to remove contaminates. Kitchen AHU Equipment Air Handler 6 serving the kitchen area is a Hot Deck Multi Zone Unit utilizing 100% outdoor air with a 20 hp supply fan. This unit provides the heating, cooling and makeup air to kitchen and exhaust hoods. The unit was not in operation during our visits. The mechanical cooling for this unit is from a donated chiller that has not been commissioned. Johnson Controls, Inc. Recommendations Re-Control of the kitchen air handler includes: • Installation of METASYS Direct Digital Controls to ensure proper sequence of operation. • Incorporate control of the chiller to provide mechanical cooling. • Replacement of the deteriorated hot water valve with new equipment. • Replacement of the aging supply fan motor with high efficiency equipment. • Installation of a Variable Speed Drive on the new supply fan motor. Repairs to the kitchen air handler include: • Performing Vibration Analysis on the supply fan. • Replacement of all required bearings, sheaves, pulleys and v-belts. • Perform Laser Alignment to all repaired equipment. • Air balance reporting of the unit. • Water balance reporting of the heating and coiling coils. Boiler Room AHU Equipment The AHU serving the boiler room provides makeup air for the boilers utilizing 100% outdoor air and a heating coil to temper the air. Recommendations Re-Control of the boiler room air handler includes: • Installation of METASYS Direct Digital Controls to ensure proper sequence of operation. • Replacement of the deteriorated hot water valve with new equipment. Repairs to the boiler room air handler include: • Performing Vibration Analysis on the supply fan. • Replacement of all required bearings, sheaves, pulleys and v-belts. • Perform Laser Alignment to all repaired equipment. • Air balance reporting of the unit. • Water balance reporting of the heating coil. Penthouse Chiller Integration Projected Cost Annual Energy Savings Payback $7,300 $2,275 Anticipated/Stipulated 3.2 Years Currently the 260 ton chiller is operated by manually turning the chilled water pumps on and off with interlocking of the chiller on/off command and the use of an outdoor air remote bulb controller to lockout the chiller on low temperature conditions. Recommendations • Installation of a METASYS Chiller Integrator to ensure proper sequence of operation. • Provide system control of the chiller and associated chilled water pumps. • Water balance reporting of the chiller pumps Lighting System Controls Projected Cost Annual Energy Savings Payback $33,538 $10,500 Anticipated/Stipulated 3.2 Years Currently the Sullivan Center Main Hall lighting control is done manually with breakers and 2 staff members. This original design has exceeded its life expectancy. There are approximately 84 breakers controlling the Main Hall lighting system. Outdoor lighting is being performed manually on the main entrance level. Johnson Controls,Inc. Recommendations Installation of a Triatek lighting panel system with (84) low voltage lighting relays to control the Main Hall fixtures. This lighting system is METASYS compatible; network controlled and can be operated by the METASYS System for energy savings and long term reliability. The outdoor lighting control will have up to (8) zoned areas and will be installed as part of this project. Zone Heating Devices Projected Cost Annual Energy Savings Payback $11,058 $575 Anticipated/Stipulated 19.2 Years Currently there are eleven additional units of heating equipment that are pneumatically controlled and not interfaced to the METASYS System. Similar devices in the facility are failing due to oil and water contamination in the Pneumatic System. Recommendations Replacement of the pneumatic devices with direct digital control on (5)terminal units and (6) convectors on the first and second floors. Connection to the METASYS System will allow complete control and energy management of all the zone units. Primary Heating System Valves Projected Cost Annual Energy Savings Payback $14,839 $4,790 Anticipated/Stipulated 3.1 Years Currently there are (4) 3-way valves for control of heating loop temperatures that are not functioning. These valves are required to reset the hot water temperature need to heat the following systems: • Main Air Handlers • Booster Coils • Fan Coils, Heaters & Univents • Makeup Air Handler Johnson Controls, Inc.
