THIS AGREEMENT made this day of , 2006, by and between
, a corporation
organized and existing under the laws of the State of Iowa,hereinafter called the
"CONTRACTOR", and the CITY OF WATERLOO, IOWA,hereinafter called the "CITY".
WITNES SETH, that the Contractor and the City for the consideration stated herein mutually
agree as follows:
ARTICLE 1. STATEMENT OF WORK. The Contractor shall furnish all supervision, technical
personnel, labor, materials, machinery, services, and perform and substantially complete all work
within 30 days after receipt of Notice to Proceed, all work required for the Demolition and Site
Clearance in an efficient and workmanlike manner as follows: DEMOLITION OF BUILDINGS
ON, AND CLEARANCE OF SITES of all parcels as enumerated in Bid Schedule attached to
and forming a part of this Contract, within the City of Waterloo Demolition Project 142-D-GO-
02-24-06-VGM all in strict accordance with the Contract Documents for Demolition and Site
Clearance including all Addenda thereto,

ARTICLE 2. THE CONTRACT PRICE. The Local Public Agency will pay the Contractor
for the performance of the Contract in current funds, subject to additions and deductions
as provided in the Section "Changes in the Work" under General Conditions, Part I, and subject
to all other conditions set forth in the Contract Documents, the sum of
Dollars($ ), in
addition to and above the value of such salvaged materials specified to become the property of
the Contractor, and in accordance with the contractor's bid.
ARTICLE 3. CONTRACT. The executed Contract Documents shall consist of the following:

b. Addenda Part I, II, and III
c. Invitation to Bid g. Special Conditions
d. Instructions to Bidders h. Technical Specifications
e. Signed copy of Bid i. Drawings as listed in the
Schedule of Drawings

THIS AGREEMENT,together with the other documents enumerated in this Article 3,which said
other documents are as fully a part of the Contract as if hereto attached or herein repeated, forms
the Contract between the parties hereto. In the event that any provision in any component part of
this Contract conflicts with any provisions of any other component part, the provision of the
component part first enumerated in this Article 3 shall govern, except as otherwise specifically
stated.
NOTICE TO PROCEED. After execution of the Agreement, a Notice to Proceed will be issued
to the contractor, whereupon the contractor shall proceed with his/her work in accordance with
the Contract time contained herein.
ARTICLE 4.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed in three
(3) original copies on the day and year first above written.

City of Waterloo, Iowa, or any person interested in the proposed Contract; and
(5) The price or prices quoted in the attached bid are fair and proper and are not tainted by
any collusion, conspiracy, connivance or unlawful agreement on the part of the bidder
or any of its agents, representatives, owners, empl es, or parties in interest, including
this affiant.

in said subcontractor's proposal, or to fix any overhead,profit or cost element of the price or the
prices in said subcontractor's proposal, or to secure through collusion, conspiracy, connivance, or
unlawful agreement any advantage against the City of Waterloo, Iowa, or any person interested in
the proposed contract; and
