PROFESSIONAL SERVICES AGREEMENT AMENDMENT NO. 2
THIS AMENDMENT, made this thirteenth day of September, 2016 by and between, the City of
Waterloo, the CLIENT, and HR GREEN, INC. (hereafter "COMPANY"), for professional services
concerning:
Professional Services Agreement for Phase I Environmental Site Assessment, Former Wonder
Bread Facility, 301-305 and 325 Commercial Street, Waterloo, Iowa
hereby amends the original Professional Services Agreement dated December 16, 2015 as follows:
The CLIENT and COMPANY agree to amend the Scope of Services of the original Professional
Services Agreement and previous amendments as follows:
COMPANY will provide technical assistance to on-site contractor regarding Phase I ESA
findings; on-site observation, sampling, and field documentation during excavation of and
removal of piping in the public right-of-way located north of 325 Commercial Street; provide
guidance for disposal of any impacted excavated soil; and provide email documentation (with
maps and lab results) and provide to Iowa Department of Natural Resources UST Department.

The CLIENT and COMPANY agree to amend other provisions of the original Professional Services
Agreement and previous amendments as follows:
This amendment does not change the content of the original agreement beyond adding to the
Scope of Services and expense of the project.
In consideration for these services, the CLIENT AGREES to adjust the payment for services performed
by COMPANY on the following basis:
® Lump Sum to be increased by fifteen thousand four hundred Dollars ($ 15,400)
The total authorized compensation after this Amendment, including the original Professional Services
Agreement and all previous Amendments, is twenty-nine thousand Dollars ($ 29,000).
THIS AMENDMENT is subject to all provisions of the original Professional Services Agreement.
THIS AMENDMENT, together with the original Professional Services Agreement and all previous
amendments represents the entire and integrated AGREEMENT between the CLIENT and COMPANY.
THIS AMENDMENT executed the day and year written above.
