The City, upon receipt of said Court Officer' s Deed, shall be solely responsible for the letting of the contract for the construction of said extension road, which letting shall conform to the statutory requirements set forth in the Code of Iowa, with respect to the public letting of contracts for public improvements. 3 . The City shall, initially, be solely responsible for the payment of any and all costs of said construction; and the Trust shall reimburse the City for its proportionate share of said costs under the terms and conditions as set forth in the original Agreement and as amended by this Addendum. 4. The City agrees that the development of Parcel "E" for road use purposes shall not change the zoning or assessment of any remaining parcels owned by the Trust. o` N 1 C TRUST RESPONSIBILITY 1. The parties agree that Paragraph D, entitled "Indenture of Future Transferees" , of the original Agreement shall herein be deleted, in its entirety, and in lieu thereof, the following terms and conditions shall control the rights and obligations of the parties to this Addendum. It is further agreed that Paragraph D shall read as follows: D. Indenture of Future Transferees The Trust hereby agrees, for itself and all future transferees or lessees whose real estate is located in Parcel "A" and is adjacent to either Parcel "C" or Parcel "E" , to pay for and be responsible for their proportionate share of the cost, exclusive of interest, as calculated and determined by the City, for the construction of the street or the continuation to Ridgeway, including, ' but not limited to, the attendant improvements, on such terms as may be then agreed by and between the City, the Trust and/or its transferees and lessees. When the Trust sells, leases or develops any portion of part of Parcel "A" , for non-agricultural purposes, the Trust shall be obligated to pay that percentage of the Trust ' s proportionate share of the construction costs which the portion or part to be sold, leased, or developed bears to the entire tract in Parcel "A" , exclusive of Parcel "B" , owned by the Congress. The Trust agrees that it shall be responsible for notifying the City of the proposed development, sale and/or lease of the real estate located within Parcel "A" . The "proportionate cost" shall be determined by and between the parties hereto, dependent upon that portion or the parties ' property which lies adjacent to the right-of-way of the street. For example, the proportionate share allocated to the Congress shall be Fifty Percent ( 50% ) of the cost of the construction of the street on Parcel "C" , by virtue of its ownership of Parcel "B" . Once the proportionate share has been determined, the percentage so derived shall be applied to the total cost of the project as calculated by the City, exclusive of interest . CITY' S RIGHT TO SUBCONTRACT For purposes above set forth , the City may elect to enter into contracts for the construction of these improvements as a part of any contract for a public improvement project made pursuant to advertisements for bids done prior to the receipt of this instrument by the Council of the City, if authorized by Chapter 384 . 41 (2) of the Code of Iowa ( 1985 ) . III . WAIVER BY CONGRESS AND TRUST The Trust and the Congress hereby waive the Resolution of Necessity and publication of Notice thereof, the Resolution ordering the work , the advertisement for bids , and the publication of Notice thereof, and all other legal formalities of whatsoever kind or character required by the laws of the State of Iowa to be observed by cities in the construction of said improvements , where the' expense of such improvements is to be assessed against the abutting or adjacent property. The undersigned Trust and Congress , each and both of them, hereby expressly waive each and every question of jurisdiction , the intention of the Congress and Trust being to authorize and direct the said City to construct the improvement without any of the formalities or legal proceedings required of cities by the statutes of the State of Iowa in constructing like improvements . This express intention of the Congress and Trust is that the above-described improvements shall be constructed as aforesaid as if each and every legal requirement pertaining thereto was lawfully and faithfully observed and/or performed. IV . COSTS AND CHANGE ORDER During the construction of the project , any amendments to the project as may be required and determined to be necessary by the Engineers shall be evaluated, approved as to cost and function , and finally approved by the Council of the City. Once each phase of the project has been completed, subject to retainages as may be required by law, any contractor selected by the City shall be entitled to be paid, and it shall be the responsibility of the City to make such payments for the portions of the project as they are completed. V. ACCEPTANCE In the event that the City shall enter into a contract for the construction of the above-described improvements , when the improvements prescribed have been constructed in accordance with the plans and specifications , as certified by the Engineer , the City shall be free to accept and adopt the project by and through its Council . bOO 278 PAa 69 -4- VI . ZONING AND ASSESSMENT CLASSIFICATION It is understood and agreed by and between the parties hereto that the current zoning of the entirety of Parcel "A" is Heavy Industrial Plan District , and that Parcel "A" is classed as agricultural land for tax assessment purposes . In consideration thereof, the City hereby agrees that it will not , until further development of Parcel "A" , alter the zoning, or assessment classification of that nortion of Parcel "A" which remains following the conveyance to the Congress of Parcel "B" , and the platting of the street right-of-way identified as Parcel "C" . It is understood and agreed, however, that further development of this area may result , in the future, in changing the character of Parcel "A" sufficiently to require a change of zoning and a change of assessment category for a portion or all of Parcel "A" . VII . WAIVER OF RIGHT TO CONDEMN It is understood and agreed by and between the parties that the City, in consideration of the conveyances herein described, hereby waives its right to condemn any other or further portions . of Parcel "A" than those referred to above for purposes of acquirin,qr borrow ( additional soil ) which may be necessary to coest.ruct the road or complete the project provided for herein . VIII . MARKETABLE TITLE The Congress and the Trust hereby certify to the City and County that they possess marketable title to the Parcels of real estate hereinafter described. Further, the Congress and the Trust , respectively, warrant that the real estate described above is free and clear of all liens and encumbrances other than for ordinary taxes or for such other liens as may be held by other lienhoiders hereinafter listed : A. For the Congress 1 . 2 . B . For the Trust 1 . 2 . IX. TRUST RESPONSIBILITY For and in consideration of the construction of the street by the City, as hereinbefore provided, the Trust hereby agrees to perform each and all of the following: A. Subdivision It is understood and agreed that the Trust shall subdivide the real estate legally described above as Parcel "A: " pursuant to the terms and provisions of uUu i8 rAtE it) -5- Chapter 409, of the Code of Iowa ( 1985) and Ordinance No. 2997 , of the City. A final plat shall be prepared and filed by the Trust to evidence the subdivision and description of Parcel "B" , and the location and description of Parcel "C" . In addition , the Trust shall be required to file a preliminary plat on which the ultimate final location of the right-of-way for the future access road , Parcel "E" , shall be located and described . B . Conveyance of Real Estate to Congress From real estate owned by the Trust and described above , the Trust agrees to convey to the Congress the real estate described above as Parcel "B" , upon payment of the purchase price as may be agreed by and between the Congress and the Trust . C . Conveyance of Real Estate to City From the real estate owned by the Trust , the Trust agrees to convey to the City for the purpose of the construction of the street to provide ingress and egress to the Greyhound Racing Track Facility, and the right-of-way attendant thereto, the real estate described as Parcel "C" as a part of the platting of the subdivision in which the street is to be located. Further, from the real estate owned by the Trust and described as Parcel "A" , the Trust hereby agrees to convey to the City a permanent easement for the purpose of the installation and maintenance of the utilities , including ingress and egress therefrom, as may he necessary to service Parcel "B" , as shall be determined by the Cite. This permanent easement shall be granted across and under the real estate identified as Parcel "D" . In the future, the Trust hereby agrees to convey, from real estate owned by it and described as Parcel "A" , as a part of the finalization of the preliminary plan provided for above , that real estate identified as Parcel "E" , which real estate shall be dedicated for the right-of-way for the purpose of construction of a street which shall connect with that existing street located on right-of-way described as Parcel "C" . The purpose of this conveyance is to establish a northern access from Ridgeway Avenue along and across Parcel "A" to Parcel "B" , for the use and benefit of the City, the Congress and the Trust and its transferees . D . Indenture of Future Transferees The Trust hereby agrees , for itself and all future transferees whose real estate adjoins the street or the b001( I�/ ?AGE 71 -6- extension thereof to Ridgeway Avenue described as Parcel "E" , to pay for and be responsible for their proportionate share of the cost , as calculated and determined by the City, for the construction of the street or the continuation to Ridgeway and the attendant improvements , on such terms as may then be • agreed by and between the City, the Trust , and/or its Transferees . The "proportionate cost" shall be determined by and between the parties hereto, dependent upon that portion of the parties ' property which lies adjacent to the right-of-way of the street . For example, the proportionate share allocated to the Congress shall be Fifty Percent (50%) of the cost of the construction of the street on Parcel "C" , by virtue of its ownership of Parcel "B" . Once the proportionate share has been determined, the percentage so derived shall be applied to the total cost of the project as calculated by the City, exclusive of interest . The same formula shall apply to future extensions of the street to Ridgeway, along and over Parcel "E" . X. CONGRESS ' RESPONSIBILITY The Congress shall ultimately be financially responsible for all costs incurred in connecting the Greyhound Racing Track Facility to the utilities being installed pursuant to the above and the proportionate share allocated to the Congress for the construction of the access street on and over Parcel "C" . Once these sums have been determined and advanced by the City, a written , itemized listing thereof shall be forwrded by the City to the Congress . From receipt , the total sum shall be the non-interest bearing obligation of the Congress , due and owing to the City , payable, only, as hereinafter set forth. From the annual pre-tax excess income , if any, of the Congress , and only in that event , the Congress shall pay to the City amounts as reasonably determined and calculated by the Congress to retire this debt over a reasonable period of time. This obligation of the Congress to the City shall continue until the entire sum shall have been paid in full . The City shall be limited in its use of the funds received from the Congress to assisting and advancing worthy economic development projects within the City as determined by the City. XI . BINDING NATURE All parties hereto hereby agree that this Agreement shall be effective and binding upon each of them from and after the approval thereof by Resolution of the Council of the City.
