(RAI), I am writing to express RAI's enthusiastic recommendation that the City of Waterloo approves entering into an agreement with QC Dekhockey Inc. to establish a Dekhockey facility and related programming including lessons/ clinics, games and tournaments on the North Plaza of the RiverLoop Expo Plaza. As you are aware, the RiverLoop Association Inc. is a non-profit organization which is charged with managing and overseeing event/rental programs at Waterloo's downtown RiverLoop facilities for the benefit of the City of Waterloo and its citizens. The RiverLoop Expo Plaza is a wonderful space with the larger South Plaza and adjacent street areas utilized weekly for the downtown Farmers Market and other summer festival events. Currently the North Plaza section is extremely underutilized. We feel that a Dekhockey program as proposed, would be an ideal use of this space, providing new and exciting recreational opportunities for citizens of all ages, creating up to 30 new seasonal jobs, and drawing visitors and activity to downtown businesses and attractions. Lease revenues would go to Leisure Services to support downtown maintenance costs. Potential opportunities for alcohol sales at the site would also create an additional revenue stream for RAI. Representatives of RAI and of Waterloo Leisure Services have been in contact with City officials in Bettendorf, Iowa, the site of the first and only other Dekhockey complex in the U.S., and have travelled to the Bettendorf site to tour the facility which is also operated by QC Dekhockey Inc. The complex is attractive and well-maintained, professionally managed, and buzzing with activity with players of all ages and friends and family gathered as spectators. Within a span of three years, the program in Bettendorf has reportedly grown to engage over 3,000 registered players each season and well over 2,000 spectators visiting the rink each week. We feel strongly that this agreement will have many positive impacts for our community and urge you to support bringing Dekhockey to downtown Waterloo. There are numerous benefits that I believe we'll realize in a very short period of time. • DekHockey is a sports option for all ages and one that Waterloo can offer to citizens at no cost to the City. The cost of participation is relatively low, too, allowing greater opportunity for participation throughout the community. • Bringing hundreds of people to Downtown Waterloo for DekHockey will definitely add to the energy and synergy already happening. The players and spectators will have a reason to be Downtown and will have opportunity to see the positive activity in the Downtown. The new restaurants like Basal Pizza and SingleSpeed will keep people in the Downtown after their games, as well. • The North block of the Expo Grounds is perfectly -sized and having DekHockey there provides more opportunity to have people gather there than any other entity could find, or program could provide. • DekHockey in the Quad Cities is well-respected and well-established. They're not only serving residents, but in July they're hosting a national tournament, which brings with it participants from around Iowa (Waterloo is sending 3 teams) and North America. The economic development opportunity that comes with tournaments of this magnitude is significant. We appreciate your support of DekHockey and its establishment here in Waterloo. I had the great privilege of traveling to Bettendorf to tour the QC Dekhockey facilities and meet with proprietor Patrik Levesque April 11, 2016. I was absolutely amazed with how many youth players and their families were utilizing the QC Dekhockey facility on a cold and windy spring evening. This sport has caught on like wildfire and participation numbers are quite impressive. Currently QC Dekhockey has over 3,000 registered participants each season and over 2,000 spectators visit the facility each week. I have every confidence Waterloo will meet or exceed these numbers in the coming years if the proposal is approved that will allow them to get started in downtown Waterloo. This would be a great fit in the North block of Riverloop Expo as this space is currently underutilized and the infrastructure is already in place for lighting, water, electrical, and restroom needs. This is a tremendous opportunity to bring in many out of town guests for tournaments and local residents into the downtown area. Downtown businesses are sure to get a boost in foot traffic and revenue if this proposal is approved. An Equal Opportunity/Affirmative Action Employer LEASE — BUSINESS PROPERTY — SHORT FORM THIS AGREEMENT, made and entered into this day of May, 2016 by and between City of Waterloo - Leisure Services ("Landlord"), whose address for the purpose of this lease is 1101 Campbell Avenue, Waterloo, IA 50701, and QC Dekhockey Inc ("Tenant"), whose address for the purpose of this lease is 4250 Sapphire Lane, Bettendorf, IA 52722. The parties agree as follows: 1. PREMISES AND TERM. Landlord leases to Tenant the following real estate, situated in Black Hawk County, Iowa: The North Plaza of the RiverLoop Expo Plaza, located at 211 West Third Street in Waterloo, Iowa and as more fully described and shown on the attached Exhibit "A" together with all improvements thereon, and all rights, easements and appurtenances thereto belonging, for a term beginning on the 1st day of July, 2016 and ending on the 30th day of June, 2021, upon the condition that Tenant performs as provided in this lease. 2. RENT. Tenant agrees to pay Landlord as rent $1 per year to be paid on the 30th day of June, in 2017, 2018 and 2019. Thereafter, Tenant shall pay Landlord as rent $3,000.00 per year to be paid on the 30th day of July in 2020 and 2021. 3. POSESSION. Tenant shall be entitled to possession on the first day of the lease term, and shall yield possession to Landlord at the termination of this lease. Should Landlord be unable to give possession on said date, Tenant's only damages shall be a pro rata abatement of rent. 4. USE. Tenant shall use the premises only for a Dekhockey court with viewing platform and pro shop housed in a skirted mobile unit; miscellaneous food and beverages may be served/sold, but no alcohol may be sold or served without permission of the landlord. Proceeds from any alcohol sales on the property will go to the Landlord. 5. CARE AND MAINTENANCE (a) Tenant takes premises as is, except as herein provided. (b) Tenant shall maintain the premises in a reasonable safe, serviceable, clean and presentable condition, and shall make all repairs, replacements and improvements to the premises including all changes, alterations or additions ordered by any lawfully constituted government authority directly related to Tenant's use of the premises. Tenant shall make no structural changes or alterations without the prior written consent of Landlord. Unless otherwise provided, and if the premises include the ground floor, Tenant agrees to remove all snow and ice and other obstructions from the sidewalk on the abutting premises. 1)Page (c) Tenant shall have access to use of the restroom facilities located inside the nearby Public Market building. Tenant agrees to keep the restroom facilities clean and restocked with consumables on a daily basis. (d) Landlord will retain responsibility for grounds keeping of grassy areas and plantings surrounding the perimeter of the paved area. 6. UTILITIES AND SERVICES. Tenant shall pay for all utilities which may be used on the premises. Electric costs will be tracked and tenant will be assessed for costs exceeding costs for electric usage from July 1st, 2016 through June 30th, 2017, the year preceding occupancy, for same space. Landlord shall not be liable for damages for failure to perform as herein provided, or for any stoppage for needed repairs or for improvements or arising from causes beyond control of Landlord, provided Landlord uses reasonable diligence to resume such service. 7. SURRENDER. Upon the termination of this lease, Tenant will surrender the premises to Landlord in good and clean condition, except for ordinary wear and tear or damage without fault or liability of Tenant. Continued possession, beyond the term of this Lease and the acceptance of rent by Landlord shall constitute a month-to-month extension of this lease. 8. ASSIGNMENT AND SUBLETTING. No assignment or subletting, either voluntary or by operation of law, shall be effective without the prior written consent of Landlord, which consent shall not unreasonably be withheld. 9. INSURANCE (a) PROPERTY INSURANCE. Landlord and Tenant agree to insure their respective real and personal property for the full insurable value. Such insurance shall cover losses included in the special for causes of loss (formerly all risks coverage). To the extent permitted by their policies the Landlord and Tenant waive all rights of recovery against each other. (b) LIABILITY INSURANCE. Tenant shall obtain commercial general liability insurance in the amounts of $1,000,000 each occurrence and $1,000,000 annual aggregate per location. This policy shall be endorsed to include the Landlord as an additional insured. 10. LIABILITY FOR DAMAGE. Each party shall be liable to the other for all damage to the property of the other negligently, recklessly or intentionally caused by that party (or their agents, employees or invitees), except to the extent the loss is insured and subrogation is waived under the owner's policy. 11. INDEMNITY. Except for any negligence of Landlord, Tenant will protect, defend, and indemnify Landlord from and against any and all loss, costs, damage and expenses occasioned by, or arising out of, any accident or other occurrence causing or inflicting injury or damage to any person or property, happening or done in, upon or about the premises, or 21 Page due directly or indirectly to the tenancy, use or occupancy thereof, or any part thereof by Tenant or any person claiming through or under Tenant. 12. DAMAGE. In the event of damage to the premises, so that Tenant is unable to conduct business on the premises, this lease may be terminated at the option of either party. Such termination shall be effected by notice of one party to the other within 20 days after such notice, and both parties shall thereafter be released from all future obligations hereunder. 13. MECHANICS' LIENS. Neither Tenant, nor anyone claiming by, through, or under Tenant, shall have the right to file any mechanic's lien against the premises. Tenant shall give notice in advance to all contractors and subcontractors who may furnish, or agree to furnish, any material, service or labor for any improvement on the premises. 14. LANDLORD'S LIEN AND SECURITY INTEREST. As security for all sums due or which will become due from Tenant to Landlord, Tenant hereby grants to Landlord, in addition to any statutory liens, a security interest as provided in the Iowa Uniform Commercial Code and a contractual lien in any and all personal property kept or used on the real estate by Tenant. 15. DEFAULT, NOTICE OR DEFAULT AND REMEDIES. EVENTS OF DEFAULT A. Each of the following shall constitute an event of default by Tenant: (1) Failure to pay rent when due; (2) failure to observe or perform an duties, obligations, agreements, or conditions imposed on Tenant pursuant to the terms of the lease; (3) abandonment of premises. "Abandonment" means the Tenant has failed to engage in its usual or customary business activities on the premises for more than fifteen (15) consecutive business days; (4) institution of voluntary bankruptcy proceedings by Tenant; institution of involuntary bankruptcy proceedings in which the Tenant thereafter is adjudged a bankruptcy; assignment for the benefit of creditors of the interest of Tenant under this lease agreement; appointment of a receiver for the property or affairs of Tenant, where the receivership is not vacated within ten (10) days after the appointment of the receiver. NOTICE OF DEFAULT B. Landlord shall give Tenant a written notice specifying the default and giving the Tenant ten (ten) days in which to correct the default. If there is a default (other than for nonpayment of a monetary obligation of Tenant, including rent) that cannot be remedied in ten (10) days by diligent efforts of the Tenant, Tenant shall propose an additional period of time in which to remedy the default. Consent to additional time shall not be unreasonable withheld by the Landlord. Landlord shall not be required to give Tenant any more than three notices for the same default within any 365 day period. 31 Page REMEDIES C. In the event Tenant has not remedied a default in a timely manner following a Notice of Default, Landlord may proceed with all available remedies at law or in equity, including but not limited to the following: (1) Termination. Landlord may declare this lease to be terminated and shall give Tenant a written notice of such termination. In the event of termination of this lease, Landlord shall be entitled to prove claim for and obtain judgement against Tenant for the balance of the rent agreed to be paid for the term herein provided, plus all expenses of Landlord in regaining possession of the premises and the reletting thereof, including attorney's fees and court costs, crediting against such claim, however, any amount obtained by reason of such reletting; (2) Forfeiture. If a default is not remedied in a timely manner, Landlord may then declare this lease to be forfeited and shall give Tenant a written notice of such forfeiture, and may, at the time, give Tenant the notice to quit provided for in Chapter 648 of the Code of Iowa. 1. SIGNS. Landlord, during the last 90 days of this lease, shall have the right to maintain on the premises either or both a "For Rent" or "For Sale" sign. Tenant will permit prospective tenants or buyers to enter and examine the premises. 2. NOTICES AND DEMANDS. All notices shall be given to the parties hereto at the addresses designated unless wither party notifies the other, in writing, of a different address. Without prejudice to any other method of notifying a party in writing or making a demand or other communication, such notice shall be considered given under the terms of this lesase when it is deposited in the U.S. Mail, registered or certified, properly addressed, return receipt requested, and postage prepaid. 3. PROVISIONS BINDING. Each and every covenant and agreement herein contained shall extend to and be binding upon the respective successors, heirs, administrators, executors and assigns of the parties hereto. 4. CERTIFICATION. Tenant certifies that it is not acting, directly or indirectly, for or on behalf of any person, group, entity or nation named by any Executive Order or the United States Treasury Department as a terrorist, "Specially Designated national and Blocked Person" or any other banned or blocked person, entity, nation or transaction pursuant to any law order, rule or regulation that is enforced or administered by the Office of Foreign Assets Control; and it is not engaged in this transaction, directly or indirectly on behalf of, or instigating or facilitating this transaction, directly or indirectly on behalf of, any such person, group, entity or nation. Tenant hereby agrees to defend, indemnify and hold harmless Landlord from and against any and all claims, damages, losses, risks, liabilities and expenses (including attorney's fees and costs) arising from or related to any breach of the foregoing certification. 4)Page 5. ADDITIONAL PROVISIONS. (a) Dekhockey games shall be played no later than 10:30 pm. (b) Waterloo residents shall be allowed to play on the same terms and conditions of all other participants. (c) Landlord shall not allow any other Dekhockey activities or City of Waterloo facilities for the term of this lease. (d) Parties shall provide notice on or before May 1, 2021 indicating their intent to enter into a new agreement or to terminate at the expiration of this lease agreement. Dekhockey is a form of off -ice hockey played in tennis shoes. The sport is played using .a ball, in an outdoor rink with a specific plastic surface, called sport court. • It is a non contact sport, that is played 3 vs. 3 plus a goalie with 3 periods of 13 minutes in a 100' x 50' rink, ▪ The only equipment needed is a helmet, shin pads, gloves, and Dekhockey approved stick. • Offers a division for everyone; junior, women, and men, and coed leagues starting at the age of 2. QC Dekhockey Background • QC Dekhockey was brought to the City of Bettendorf, IA in April 2012 by Patrik Levesque, a pro hockey player of 10 years, whom fell in love with the fun sport after participating in his hometown in Trois Rivieres, Quebec, where they have a complex of 4 rinks. After seeing how fun and addicting the sport was, as well as how quickly the sport's popularity was growing he decided he needed to spread the exciting activity to the US. • In the past 3 years the leagues in Bettendorf have increased in registration currently with over 3,000 players registered each season and over 2,000 spectators visiting the rink each week, pushing expand to a second rink in 2014 to hold all players interested. • Dekhockey offers a division for every player; men, women, coed, and junior leagues. The sport involves the entire family! After over 'doubling registration numbers each season, a second rink was necessary to provide the game time and player/team availability. Summer 2014, Dekhockey hosted the first Dekhockey Iowa Games in conjunction with the Iowa Games organization, hosting over 30 junior and adult teams from the area and the Midwest. Summer 2015, Dekhockey hosted it's First tournament of the National Dekhockey Association hosting the maximum number of 60 teams. Teams traveled from all over the country and Canada to Bettendorf for the weekend tournament. I've been playing for years. I played when I lived in pa and now that I moved out to Iowa. I'm glad I can continue to play for a great place. It's amazing. Former Quad -City Mallards hockey player Patrik Levesque also received some good news at the council meeting when aldermen unanimously voted to approve an extended lease for use of an area at Crow Creek Park for Quad -City Dekhockey. Almost 750 people participated in the sport last season, which was brought to Bettendorf by the former player.
