(ATS), 501 Sycamore Street, Suite 222, Waterloo, lowa, dated July 13, 2015, for desigri of the Waterloo WPCF - Upgrade lnstrumentation and Control System, and WHEREAS, the Client and ATS now desire to enter into Supplemental Agreement No. 1 for providing construction -related services for the project and State Revolving Fund application assistance. NOW THEREFORE, it 16 mutually agreed to amend the original Professional Service Agreement as follows: A. Project Description This project 5 an upgrade of the lnstrumentation and Control System at the Waterloo Water Pollution Control Facilities (WPCF). The existing computer hardware running the treatment plant control system is obsolete and unreliable. This has made maintenance of the existing systems difficult. This project will replace the programmable logic controllers (PLCs), personnel computer workstations (PCs), and outdated networking system running the plant control system with industry standard equipment, software platforms, and Ethernet/fiber optics redundant communications network. With this upgraded system, the WPCF staff (given proper password privileges) will have the ability to monitor the entire plant from anywhere a PLC or workstation is Iocated at the plant. The City would like to obtain State Revolving Fund (SRF) loan for the construction of this project. Obtaining the loan 15 a multi -step process that requires the input of the City, lowa Department of Natural Resources (lowa DNR) and the design engineer. Each entity has various responsibilities at various stages of the loan acquisition process. ATS will provide engineering assistance to the City for the SRF process. B. Scope of Services The Scope of Services will encompass and include detailed work, services, materials, equipment, personnel and supplies necessary to provide construction -related services and engineering assistance to the City for the SRF process. The Scope of Services 5 further defined as follows: Task 1 - Assiqn Project Manacjor. Assign a project manager who will coordinate project activities and will be the principal liaison between the Client, ATS and regulatory agencies. ACOM Page 2 Task 2 - SRF Proiect lnitiation Items. ATS will submit a work record request to the Iowa DNR to establish the project as one marked for SAF funding. ATS will participate in the Project Initiation Meeting with the City and the lowa DNR. This includes preparing preliminary project design information to present at the meeting and to answer any technical questions as related to the project. Task 3 - Facility PIan Preparation. ATS will prepare a facility plan for the project per requirements of lowa Wastewater Faciijties Design Standards, Chapter 11, Section 11.2, as required for the SRF process. Task 4 - lntended Use Plan (IUP) Application Preparation and Public Hearinq. ATS will prepare IUP Application required for SRF. The Environmental Checklist and Associated Items will also be prepared to assist the lowa DNR with an environmental review. ATS will participate in the public hearing for the project and help answer any concerns from the public regarding the project. Task 5 - Contract Document Execution. Assist the Client in assembling the contract documents for execution by tho Contractor and the Client. Task 6 - Preconstruction Conference. Conduct a preconstruction conference with representatives of the Contractor, Client, ATS and affected utilities. Task 7 - Horizontal and Vertical Control. Provide horizontal and vertical control for the project which includes grade stakes for alignment and grade of proposed fiber optic lines between plant buildings. Task 6 - Submittals. Review shop drawings and other submittals as required of the Contractor by the contract documents tor conformance with the design concept of the project and compliance with the information given in the contract documents. Task 9 - Proiect lntentions. Answer design interpretation questions from the Client, Contractor, review staff and appropriate agencies. Task 10 - Contractor Pavment Applications. Process monthly applications for payment submitted by the Contractor and forward to the Client for execution with recommendations for approval and payment. Task 11 - Field Testing Conformance Review Assistance. Witness/provide, where applicable, field testing of the facilities furnished under the contract to assist in determining conformance with the contract documents. Task 12 - Site Visits bv Desiqn Personnel. Visit the construction site by design personnel at appropriate stages of construction to review the quality of the work and to determine, in general, whether the work conforms to the contract documents. Task 13 - Chanqe Order Preparation and Processinq. Assist the Client and Contractor in preparing and processing contract change orders. Task 14 - Field Observation. Provide periodic field observation during construction to review the work of the Contractor to determine if the work is proceeding in general accordance with the contract documents and that completed work appears to conform to the contract documents. Statfing requirements may be adjusted during the project in relation to the level of construction activity. AXOM Page 3 Task 15 - Conformance Urxlates to Client as Needed. Fleport to the Client any work believed to be unsatisfactory, faulty or defective or does not conform to the contract documents, and advise Client of any work that should be corrected or rejected. Task 16 - Evaluate Contractors SuQqestions for Modifications. Consider and evaluate Contractor's suggestions for modifications and report them with recommendations to the Client. Task 17 - Maintain Files durinq Proiect. Maintain files for correspondence, reports of the job conferences, shop drawings and sample submissions, reproductions of original contract documents ineluding addenda, change orders, field modifications, additional drawings issued subsequent to the execution of the contract, Engineer clarifications and interpretations of the contract documents, progress reports and other project -related documents. Task 18 - Operation and Maintenance Manuals. Compile Equipment Manufacturer's and Vendors Operation & Maintenance (O&M) material from Contractor and distribute two sets of O&M manuals to the Client at the completion of the project. Task 19 - Start -Up Traininq Coordination. Coordinate and attend one -day training and start-up sessions by Contractor and equipment manufacturer(s) to orient Client's operating personnel in operation of the facilities. Task 20 - Review of Prolect. Participate in a review of the project with the Client and review staff near project completion and prepare a list of items to be completed or corrected. Task 21 - Field Observation of Comrleted Proiect. Participate in a field observation of the completed project with the Client and review staff before a final application for payment is processed for the Contractor. Task 22 - Revised Plans Showinq Chancies Made Durinq Construction. Provide the Client with a copy of revised drawings of the constructions plans for the project based on the construction observation records of the review staff and Contractor showing those changes made during construction considered significant. Task 23 - Documentation Close -Out. Assist the Client with the final close-out documentation from the Contractor. Not lncluded in the Scope of Services The following are EXCLUDED from this Scope of Services. These services may be included, if requested, as part of an amendment to this scope: 1. Sponsored Project Documentation: The City may be interested in pursuing "water resource restoration sponsored projects" that may be tied to the primary SRF project. This scope does not include coordination to pursue these projects. 2. The lowa DNR environmental review rnay require impact mitigation, vibrational monitoring, wetland creation or other actions. Meeting the requirements of the environmental review is not included in this scope but could be added by amendment if required. AZCOMPage 4 III. Compensation Compensation for the above services will be on an hourly basis in accordance with Part VI of the original agreement and shall be segregated from the fees in the original agreement. The estimated fee is Eighty -Five Thousand Six Hundred Dollars ($85,600.00). IV. In all other respects, the obligations of the Client and the Consultant shall remain as specified in the Professional Services Agreement dated July 13, 2015.
