QUIT CLAIM DEED
For the consideration of One ($1.00) Dollar and other valuable consideration, City
of Waterloo, Iowa, a municipal corporation, does hereby Quit Claim to Proactive
Holdings IV, LLC n/k/a Crossing Point, LLC, all its right, title, interest, estate, claim and
demand in the following described real estate in Black Hawk County, Iowa:
See attached Exhibit "A"
This deed is excepted from documentary stamp and declaration of value pursuant
to Iowa Code 428A.2(6).
Subject to restrictions, easements, covenants, ordinances, and limited access
provisions of record.
Each of the undersigned hereby relinquishes all rights of dower, homestead and
distributive share in and to the real estate.
Words and phrases herein, including acknowledgment hereof, shall be construed
as in the singular or plural number, and as masculine or feminine gender, according to the
context. }

This record was acknowledged before me on this /Ivday of Oe , 2013,
by Ernest G. Clark and Suzy Schares, as Mayor and City Clerk, respectively, of the City
of Waterloo, Iowa; that the seal affixed to the foregoing instrument is the corporate seal
of the corporation, and that the instrument was signed and sealed on behalf of the
corporation by authority of its City Council as contained in the Resolution adopted by the
City Council, under Council Action No. 9.0J 3—I b39 of the City Council on the
16th day of December, 2013, and that Ernest G. Clark and Suzy Schares acknowledged
the execution of the instrument to be their voluntary act and deed and the vpluntary act
and deed of the corporation, by it voluntarily executed.
